Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 is e-mailed to all board members and any questions and/or concerns are addressed prior to submitting form 990 to the irs.

Form 990, Part VI, Section B, Line 12

Directors, principal officers, or members of a committee with board delegated powers who have a direct or indirect financial interest are considered interested persons. An interested person has a potential conflict of interest if the person has, directly or indirectly, through business, investment, or family, an ownership investment and/or compensation arrangement with which the organization has business transactions or arrangements. The board of directors decide if a financial interest is considered a conflict of interest. Each interested person signs a statement affirming that they have received a copy of, have read and understand, and agree to comply with the conflicts of interest policy. Any potential conflicts of interest are discussed with disinterested board members, who decide the proper course of action in determining the best interests of the organization.

Form 990, Part VI, Section B, Line 15

Compensation and bonuses for the ceo, president, and top management are reviewed and approved by the three external members of the board of directors on an annual basis. The compensation review process was most recently completed during january 2017. Board members contemporaneously document the deliberation and decision. Compensation changes for all other krell employees are approved by the president. Salary changes are typically only made in january of each year. Salary changes typically cover cost-of-living, change in job duty, and performance review adjustments.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are available upon request.
