“Three types of membership are available: individual, organizational and provider. All potential members first complete a guidelines workshop and then pay a membership fee based on the type of membership requested.”

“Per section 6 of the bylaws, directors have three year terms. Three directors' terms expire every year. Before the annual meeting the board of directors appoint two directors to replace outgoing directors. At the annual meeting the membership elects one new director replacing an outgoing director.”

“Artical xiv amendment of bylaws subject to the right of the members under section 14:02 member approval required the bylaws of the patv may be adopted, amended, or repealed only by 2/3 majority vote of the board of diretors then in office. Section 14:02 members approval required once members have been admitted to patv as allowed for in section 4:01 initial members, the board may not , without approval of a majority of voting of voting members, specify or change any bylaws provision that would: a. Fix or change the authorized number of board members. B. Fix or change the minimum or maximum nimber of board members. C. Change from a fixed number of board members to a variable number of board directorsor vice versa. D. Increase or extend term limits of board members. E. Increase the quarum for member meetings. F. Repeal, restrict, create, expand or otherwise change proxy voting rights. G. Modify section 10:02. Unanimous of the members is required to modify this section.”

“Written minutes are kept for all board meetings.”

“The organization's cpa prepares form 990 based on the information provided by the organization. The form 990 is then reviewed by the executive director. Upon board approval the form 990 is signed by one of the officers of the board and filed.”

“The compensation for the executive director was originally determined by a search commmittee. Each year thereafter the executive director is evaluated by the board, staff and patv members, based on the evaluation compensation is adjusted accordingly.”

“The organization's governing documents and forms 990, 990t and state income tax returns are made available as requested if the requested for copies is valid and reasonable. Any request that appears to be hostile in nature is delayed until organization management and/or officers have consulted with legal counsel.”
