The Stonehill Benevolent Foundation provides financial assistance for needy residents of Stonehill Care Center, assists Stonehill Care Center in its general operations, generates and attracts substantial support from the public to receive contributions and grants, and holds, administers, converts, invests, reinvests and manages such contributions and grants for the benefit of Stonehill Franciscan Services in various ways.

The Board of Directors may create an Executive Committee that may exercise all authority of the Board of Directors, but no authority to amend the Articles of Incorporation, adopt a plan of merger or consolidation, recommend the sale, lease, exchange or other disposition of all or substantially all the property and assets of the corporation other than in the regular course of business.

Gretchen Brown, CEO, and Richard Runde, Director, have a business relationship.

The number of directors shall be no fewer than eight and no greater than 16. The Board of Directors shall consist of one member designated by the Stonehill Franciscan Services, Inc. Board of Directors, three members designated by the Sisters of St. Francis of Dubuque Leadership Team, and four at large members selected by the corporation's Board of Directors. The directors' terms shall be for a period of three years. In addition to the eight to 16 voting members described above, the President of Stonehill shall serve as an ex-officio (non-voting) member of the Board of Directors. Each officer is eligible for renewal of the one year term annually.

The Board Chair reviews the statements and follows up on any potential conflicts. Any actual or potential duality or conflict of interest including but not limited to ownership or control of any entity that contracts with the Stonehill Benevolent Foundation for any products or services are disclosed to the other members of the Board and made a matter of record in the minutes when the subject of such interest becomes a matter of Board action. When a conflict arises, the Board member is not allowed to vote on the issue and may be excused from the meeting.

Financial Statement Notes

Part X, Line 2:

Stonehill Benevolent Foundation is organized as an Iowa nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(3), qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(vi), and has been determined not to be private foundations under Sections 509(a)(1). The entity is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the entity is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. Stonehill Benevolent Foundation has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. Stonehill Benevolent Foundation believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entity would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0Stonehill Benevolent Foundation is organized as an Iowa nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(3), qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(vi), and has been determined not to be private foundations under Sections 509(a)(1). The entity is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the entity is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. Stonehill Benevolent Foundation has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. Stonehill Benevolent Foundation believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entity would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
