EXPLANATION FOR FORM 990, PAGE 6, PART VI, LINE 12C

Each director, principal officer, employee and member of a committee shall annually sign a statement that affirms such person: a) has received a copy of the conflict of interest policy, b) has read and understands the policy, c) has agreed to comply with the policy, and d) understands the adler theatre foundation is nonprofit and in order to maintain its federal tax exemption it must engage in activities which accomplish one or more of its tax-exempt purposes. The annual statement shall be submitted to the board of directors for review. The board of directors shall decide whether a conflict exists based upon the disclosures contained in the annual statements as it deems appropriate.
