The following mercycare service corporation trustees are not independent due to transactions disclosed on form 990, schedule l of mercy medical center, a related tax-exempt organization: barrie ernst, rue patel, fred pilcher, m.d. And kyle skogman.

Form 990, Part VI, Section A, Line 1A

Mercycare service corporation's bylaws provide that the executive committee has authority to transact all regular business of the governing body in between board meetings.

Form 990, Part VI, Section B, Line 11B

The 990 is reviewed with the executive committee (subcommittee of the board of trustees) prior to filing with the internal revenue service. The committee is provided with general background information regarding the form 990, and the form itself (including attachments) is reviewed. Upon request, the tax return will be available for review by the board of trustees. Members of the executive committee and management are available to answer questions from the trustees on the return.

Form 990, Part VI, Section B, Line 12C

Mercycare service corporation requires all directors, officers, and key employees, as well as each employee to disclose any interest in, obligation or duty to, or activity for any concern in which a director, officer, key employee, or employee or their family member may be involved that: might create an actual or potential conflict of interest or might have the appearance of adversely affecting the director's, officer's, key employee's, or employee's judgment or actions in performing his/her duties towards mercy. All directors, officers, key employees, and employees shall file an initial conflict of interest report upon hire and shall be required to file an updated report immediately if any changes occur which result in a conflict of interest or financial interest. All directors, officers, key employees, and employees (supervisor and above), physicians, and any employee in a position to influence a purchase decision shall re-submit a conflict of interest disclosure statement, with any necessary changes, each year and immediately if any additional conflicting or financial interest arise. All board members shall submit in writing a conflict of interest disclosure statement listing all financial and conflicting interests. The statement shall be resubmitted with any necessary changes each year and as any additional conflicting or financial interest arise. Determining whether a conflict of interest exists with a mercycare service corporation board member: -upon disclosure of the financial interest and all material facts, the board member, the corporate officer, or the ceo making such disclosure may be asked to leave the board or committee meeting while the financial interest is discussed and voted upon. -the remaining board or committee members shall decide if a conflict of interest exists. -in the case of disclosure by a medical staff member, physician, executive staff member, department director, supervisor, or other individual, the president/ceo of entity shall determine, based on the facts and circumstances disclosed, if a conflict of interest exists. -the president/ceo of entity shall report the results of all determinations, with regard to conflict of interest, to the chair of the board. Penalties for non-compliance: failure to comply with this policy shall constitute grounds for removal from office and, in the case of mercycare service corporation key personnel, employees, or other affected parties, termination of employment. Retention period: all certificates and disclosure summary documents of current or former employees (and related correspondence) will be retained in accordance with mercycare service corporation's record retention policy.

PART V, LINE 4:

Mercy hospital, cedar rapids, ia endowment foundation, inc. (foundation), a tax-exempt related organization, holds the endowment funds. The foundation's endowment funds are used for the hall-perrine cancer center and cancer center programs, hall radiation center, oldorf hospice house, hospice of mercy programs, hallmar, watts library, caregivers center, especially for you race against breast cancer, mercy medical center operating and capital projects, and general endowment funds to be used at the board of director's discretion.

PART X, LINE 2:

Mercycare service corporation (corporation), mercy medical center (hospital), and mercy hospital, cedar rapids, ia endowment foundation inc (foundation) are not-for-profit corporations as described in section 501(c)(3) of the internal revenue code and are exempt from federal income taxes on related income pursuant to section 501(a) of the code. Mercy care management, inc. (mcm) is a for-profit corporation subject to applicable federal and state income taxes. Mercy surgery center, llc (asc) and mercycare accountable care organization, llc (aco) are for-profit limited liability companies. The corporation, hospital and foundation each file a form 990 (return of organization exempt from income tax) annually. Mcm files a form 1120 (return of u.s. Corporation income tax) annually. When these returns are filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the tax position taken or the amount of the position that would ultimately be sustained. Examples of tax positions common to organizations include such matters as the following: the tax exempt status of the entity, the continued tax exempt status of bonds issued by the obligated group, the nature, the characterization and taxability of joint venture income and various positions relative to potential sources of unrelated business income tax (ubi). Ubi for the corporation and hospital is reported on form 990t, as appropriate. The benefit of a tax position is recognized in the financial statements in the period during which, based on all available evidence, management believes that it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions are not offset or aggregated with other positions. Tax positions that meet the "more likely than not" recognition threshold are measured as the largest amount of tax benefit that is more than 50% likely to be realized on settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the accompanying balance sheet along with any associated interest and penalties that would be payable to the taxing authorities upon examination. As of june 30, 2024 and 2023, there were no uncertain tax positions identified and recorded as a liability. Forms 990 and 990t filed by the corporation, hospital and foundation are subject to examination by the internal revenue service (irs) up to three years from the extended due date of each return. Form 1120 filed by mcm and form 1065 filed by asc are also generally subject to examination by the internal revenue service (irs) up to three years from the extended due date of each return.
