Governance Explanations

Form 990, Page 6, Part VI, Line 6

The organization has approximately 36 church member organizations that are voting members under the bylaws.

Form 990, Page 6, Part VI, Line 7A

Each member has three votes on any matter properly presented to the members for decisions.

Form 990, Page 6, Part VI, Line 11B

After a draft of the proposed form 990 was prepared by the organization's independent accountants, the independent accountants reviewed the proposed form 990 with the organization's president. A copy of the proposed form 990 is distributed to each member of the board of directors. The proposed form 990 was then reviewed, discussed and approved by all members as an identified agenda item at a regular meeting of the board of directors. The form 990 is not signed or filed until approved by the board of directors.

Form 990, Page 6, Part VI, Line 12C

The organization has an expansive conflict of interest policy that is contained within its corporate bylaws. Although compliance with this conflict of interest policy is integral to the culture of the organization, the organization does not require its directors, officers or key employees to regularly report on their compliance with the conflict of interest policy. If any director or officer has a conflict of interest, such director or officer will abstain from discussing, deliberating and voting upon the matter in conflict.

Form 990, Page 6, Part VI, Line 15A

The personnel committee of the board of directors regularly reviews independent regional compensation data of comparable organizations in determining proposed compensation for its key employees. The personnel committee then makes recommendations to the full board of directors who ultimately approve all compensation and benefits for its key employees.

Form 990, Page 6, Part VI, Line 19

This organization provides copies of its organization documents, financial statements and conflicts of interest policy to anyone upon request. This organization does not post its organizational documents on its website.
