Governance Explanations

Form 990, Part VI, Section A, line 1

The President is the standing Chair of the Executive Committee. The Executive Committee shall be comprised of Officers of the Board. Subject to limits, the Executive Committee shall have the authority to take any action on behalf of the Corporation between regularly scheduled Board meetings. The Executive Committee shall report to the Board each meeting any action taken by the Executive Committee between meetings.

Form 990, Part VI, Section A, line 4

The bylaws have been restated and approved by the organization's previously defined "members" so as to eliminate voting "member classes" in the bylaws. Thus effectively removing a requirement that "members" vote to approve bylaw changes. This change also removed the requirement of the "members" to approve board directors. This move is generally described as moving from a "membership" form of organization to one that is "self-perpetuating". As currently stated, all bylaw changes can be made by affirmative vote of the majority of the corporation's directors. The number of board directors has been changed from requiring 15 to allowing the board to set the number of active directors to no less than 11 and no more than 15. Further, the description of the duties for the four officers has been expanded to provide additional clarity around the functions and level of authority imbedded in the various officer roles. Significant changes have been made to the restated bylaws to allow the board of directors, through majority vote, full authority to change bylaws or organizing documents, etc. Significant changes were made to clarify the definition of a quorum as a majority of directors eligible to vote. In addition, as member classes were effectively removed from the bylaws, member voting rights were discontinued completely. Small changes were made in some areas to clarify and reinforce that directors will not be compensated and to clarify the process by which they need to declare conflicts of interest to other directors and to recuse themselves during votes where they have a conflict of interest. The audit committee functions have been merged with the "finance committee". All standing committees were further defined in the bylaws. Language was added to clarify committee responsibilities, role of the chair of each committee, meeting format and frequency among other smaller details. Significant language has been added to the bylaws that has delineated and clarified the functions and authority of the CEO.

Form 990, Part VI, Section B, line 12C

The Conflict of Interest Policy is reviewed annually and board members and officers sign statements attesting to the fact that he/she has reviewed and understands the policy. In addition, the CEO monitors transactions to avoid any potential conflict of interest. If a conflict exists that person is not allowed to vote on the matter and my be asked to leave the meeting.

Form 990, Part VI, Section B, line 15A

The Executive Committee reviews the compensation package for the CEO on an annual basis. The Committee obtains current salary and benefit information from data surveys. Based on this information and the results of the annual performance evaluation done by the Village Board, the Executive Committee makes a recommendation to the Board of Directors for any changes to be made to the CEO's compensation package. The deliberation and decision is documented in the board minutes and personnel file. The CFO's compensation is determined by the CEO in constitution with the Human Resource Manager using current salary and benefit information from data surveys. The decision is documented in the personnel file and completed on an annual basis.

The Organization holds Social Security and other payments for its clients and makes distributions to pay the clients' personal expenses as needed.

The organization holds security deposits for the tenants of the apartments. These funds are included in security deposits on the statements of financial position. Security deposits totaled $21,935 and $14,961 at September 30, 2015 and 2014.

Part X, Line 2:

Opportunity Village, Elm Street Home, Inc., and Northwoods Living, Inc. are organized as Iowa nonprofit corporations and have been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3) and qualify for the charitable contribution deduction under Sections 170(b)(1)(A)(vi) and (viii). Opportunity Village and Elm Street Home, Inc. have been determined not to be private foundations under Sections 509(a)(1) and (3). Northwoods Living, Inc. has been determined to be a private foundation. Each entity is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the entities are subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. The Organization has determined that the entities are not subject to unrelated business income tax and none of the entities have filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Organization believes that each entity has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred. The entities' Forms 990, 990-T and other income tax filings required by state, local, or non-U.S. tax authorities are no longer subject to tax examination for years before 2011.

The Village offers support for individuals to achieve success at home, at work, and in the community.We continue to honor the Christian principles on which the Village was founded, that all people are created in God's image and worthy of respect.The Village is based in Clear Lake, Iowa, in the north central part of the state. Our services reach into more than 30 communities, and individuals come from across the state seeking our support. We provide a caring, supportive atmosphere for approximately 600 people who receive one or more types of service from the Village. Ages range from infants to senior citizens. Disabilities include intellectual disabilities, mental illness, cerebral palsy, seizure disorders, brain injury, autism, and more.The services provided at Opportunity Village are accredited by the Commission on Accreditation of Rehabilitation Facilities (CARF). We currently have a 3-year accreditation, the highest level possible.
