Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm, then is reviewed and approved by the executive director, the finance director and the finance committee of the board of directors which includes the board treasurer. A copy of the form 990 is provided to each board member prior to filing with the irs and the filing is noted in the board of directors' minutes.

Form 990, Part VI, Section B, Line 12C

Members of the board of directors and all full-time staff are required to sign an annual conflict of interest statement that documents the receipt and understanding of the policy and agreement to comply with the policy. Upon entering into a transaction and a potential conflict of interest, the matter is disclosed to the board of directors and the involved director may not vote on the issue. Minutes of the governing board and all committees with board delegated powers shall contain information related to and known or perceived conflicts of interest.

Form 990, Part VI, Section B, Line 15A

The compensation of the executive director is discussed and approved annually by the executive committee of the board of directors after conducting an annual performance review. The compensation is a line item in the annual budget that is approved by the board of directors and noted in the minutes. During the 2007 national job search for the position, salary information for comparable positions (executive directors, managing directors, and/or artistic directors) with community theatres of similar size were obtained to establish a benchmark for the position. A similar comparison was conducted in 2016 prior to the national search for executive director. The executive committee considers performance benchmarks and the financial ability of the organization to grant overall compensation increases considering historical financial results and a proposed budget. The compensation of the executive director for the year ended july 31, 2024, was subject to this process.

Financial Statement Notes

PART III, LINE 1A:

The collections, which were acquired through purchases and contributions since the theatre's inception, are not recognized as assets on the statement of financial position. Purchases of collection items are recorded as decreases in unrestricted net assets, through an expense, in the year in which the items are acquired or as decreases in temporarily or permanently restricted net assets if the assets used to purchase the items are restricted by donors. Contributed collection items are not reflected on the financial statements. Proceeds from sales or insurance recoveries are reflected as increases in the appropriate net asset classes.

PART III, LINE 4:

The theatre's collections are made up of a pencil sketch and a replica painting. Each of the items is cataloged, preserved, and cared for and activities verifying their existence and assessing their condition are performed continuously. The collections are subject to a policy that requires proceeds from their sale to be used to acquire other items for collections.

PART V, LINE 4:

The theater's endowment consists of funds to support the general operating needs of the theatre.

PART X, LINE 2:

The theatre is exempt from income taxes under section 501(c)(3) of the internal revenue code and a similar section of the iowa income tax law, which provides income tax exemption for corporations organized and operated exclusively for religious, charitable, or educational purposes. The irs has not classified the theatre as a private foundation. The theatre files information returns in the u.s. Federal jurisdiction. The theatre has determined that it was not required to record a liability related to uncertain tax positions.
