Form 990, Part VI, Section B, line 12C

It is the policy of Catholic Charities Foundation to insist on the best efforts to avoid any conflict of interest and to exhibit undivided loyalty of those employed by it or who serve it in a voluntary capacity on its Committees and Boards. This policy applies to staff and to individuals serving in the capacity of Committee Chairs, Members, and Board Members. These individuals are required to disclose annually any possible conflicts. A conflict of interest transaction is a transaction with a corporation or other entity in which an individual covered by this policy has a direct or indirect interest. A transaction in which an individual of a corporation has a conflict of interest may be approved if the material facts of the transaction and the person's interest were disclosed or known to the board of directors, council, or a committee of the board and the board or committee of the board authorized, approved, or ratified the transaction. A conflict of interest transaction is authorized, approved, or ratified if it receives the affirmative vote of a majority of the members on the board or on a committee of the board who have no direct or indirect interest in the transaction, but a transaction shall not be authorized, approved, or ratified under this section by a single member. If a majority of the members on the board who have no direct or indirect interest in the transaction vote to authorize, approve, or ratify the transaction, a quorum is present for the purpose of taking action under this section. The Executive Director reviews the conflict of interest policies. Any individual having a conflict of interest on any matter must abstain from voting on the matter and is not counted in determining the quorum for the vote on the matter. The minutes of the meeting reflect the disclosure made, the abstention from voting, and the quorum situation.

Catholic Charities Foundation does not pay compensation to the Executive Director. The Executive Director's compensation is determined by Catholic Charities, a related organization. The Finance Officer's compensation is determined by the Archdiocese of Dubuque, a related organization. Both Catholic Charities and the Archdiocese of Dubuque use these methods when determining compensation.

Financial Statement Notes

Part X, Line 2:

Catholic Charities Foundation is organized as an Iowa non-profit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes as an organization described in Section 501(c)(3). The Foundation is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, Catholic Charities Foundation is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. Catholic Charities Foundation has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. Catholic Charities Foundation believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Catholic Charities Foundation would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

The Foundation is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, Catholic Charities Foundation is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. Catholic Charities Foundation has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. Catholic Charities Foundation believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Catholic Charities Foundation would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

A conflict of interest transaction is a transaction with a corporation or other entity in which an individual covered by this policy has a direct or indirect interest. A transaction in which an individual of a corporation has a conflict of interest may be approved if the material facts of the transaction and the person's interest were disclosed or known to the board of directors, council, or a committee of the board and the board or committee of the board authorized, approved, or ratified the transaction. A conflict of interest transaction is authorized, approved, or ratified if it receives the affirmative vote of a majority of the members on the board or on a committee of the board who have no direct or indirect interest in the transaction, but a transaction shall not be authorized, approved, or ratified under this section by a single member. If a majority of the members on the board who have no direct or indirect interest in the transaction vote to authorize, approve, or ratify the transaction, a quorum is present for the purpose of taking action under this section. The Executive Director reviews the conflict of interest policies. Any individual having a conflict of interest on any matter must abstain from voting on the matter and is not counted in determining the quorum for the vote on the matter. The minutes of the meeting reflect the disclosure made, the abstention from voting, and the quorum situation.
