The sole regular member BCBSM, Inc. elects regular directors. Enrollee members elect enrollee directors which comprise at least 40 of the board of directors.

Copies of the Form 990 were distributed in advance to members of the Blue Plus Board of Directors for review and discussion at their meeting prior to filing with the IRS.

Form 990, Part VI, Section B, Line 12C

Annually directors and officers of HMO Minnesota and others who provide services pursuant to the administrative services agreement between HMO Minnesota and BCBSM, Inc. are required to complete a detailed questionnaire asking for information that could give rise to potential conflicts. All those persons are advised to provide updates with respect to circumstances that could give rise to potential conflicts. Information is reviewed by the Board chair, legal, counsel and the full Board of Directors to determine if conflicts exist and if any safeguards need to be taken. If conflicts were to be found, the person would recuse himself/herself from any board discussions and/or board actions if it became a board related matter and the corporation would follow applicable law for Minnesota nonprofit corporations in dealing with the situation.

HMO Minnesota does not pay any direct compensation to its officers except for outside directors whose compensation is established by the HMO Minnesota Board of Directors for their service as directors.

Minnesota Senior Health Options MSHO provides coverage to beneficiaries age 65 and older who are eligible for DHS Medical Assistance and Medicare Parts A and B. This program serves 7,900 members. Our MSHO product, SecureBlue, has broad geographic reach, covering members in 62 counties. A hallmark of MSHO is the care coordination provided to members regardless of whether they reside in the community or in an institution. Special attention is paid to helping members remain in the community with appropriate services and support.
