Southern california presbyterian homes has a project owner's and management agent's certification for multifamily housing projects with the us department of housing and urban development. Under this certification, hud has approved southern california presbyterian homes to manage the organization. The management contract encompasses the day to day operations of the project, including, but not limited to the collection of rents, maintenance of facilities, supervision of staff, and ongoing support for both the owners and tenants as needed in order ot establish a safe, sanitary and affordable environment.”

“Form 990 preparation and review process: this return was prepared by the accounting staff of the management agent (southern california presbyterian homes). The controller and cfo of the management company review and approve the return for filing. In addition, the form 990 is furnished to the board of directors prior to filing.”

“Every year organization directors and officers are asked to complete a conflict of interest disclosure along with a statement of commitment. In connection with any actual or possible conflict of interest, directors and officers must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. If the board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such relief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the response of the member, the board or committee determines that the member has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”

Compensation for the company's ceo is based on comparability data received from an independent consultant who is familiar with the compensation practices of similar companies in the nonprofit senior housing and services industry. On an annual basis, the executive committee of the board of directors (in its capacity as compensation committee) reviews and discusses the compensation data with the ceo and others as deemed necessary. An updated compensation survey was conducted in 2014. This information was used for setting modest salary increases for the ceo and senior management, after giving due consideration to the incentive compensation plan. Based on those discussions, and pursuant to california law, the executive committee makes a recommendation for the ceo base compensation to the full board. B. Base compensation for the company's senior management is determined by a salary survey conducted by an independent consultant with expertise in the compensation practices of similar companies in the nonprofit senior housing and services industry. An updated compensation survey was conducted in 2014. This information was used for setting modest salary increases for the ceo and senior management, after giving due consideration to the incentive compensation plan. Pursuant to california law the executive committee makes a recommendation for the ceo base compensation to the full board and provides the ceo with recommended ranges in which to adjust the base compensation for the other members of senior management. Five of eight members of the executive committee and twelve of sixteen voting members of the board members of the board, are independent persons. Contemporaneous summary minutes of all executive committee meetings are maintained. In addition, based on input from independent consultants, the executive committee, in consultation with the ceo, establishes criteria to be met for purposes of any incentive compensation that might be paid out. Thus, the estimated average hours per weeks reported in column b is an attempt to spread out on a weekly basis the estimated amount of time spent during the year on board or committee matters for the organization and all related organizations.”
