Governance Explanations

Common ground alliance filed articles of amendment to the articles of incorporation of common ground alliance in march 2019. Common ground alliance also updated its bylaws in march 2019.

Form 990, Part VI, Section A, Line 6

Classes of members: the members of the corporation shall consist of classes of members. The classes of members may range in number from one (1) to twenty (20) classes. The number of classes of members, the number of members in each class, the criteria for class membership, the dues or assessments (if any) to be paid by each membership class, and the rights and responsibilities of each class shall be determined by action of the board of directors. The number of members, criteria, dues or rights may differ by class, if so determined by the board of directors.

Form 990, Part VI, Section A, Line 7A

Vote: for any matter submitted to the members of a class, each class member shall have one vote. Any membership class(s) vote may be conducted in person, by any electronic or telephonic means, by proxy, by mail ballot or such other means determined by the board of directors and communicated to the members in advance of the vote. There shall be no cumulative voting in any vote by membership classes. The foregoing shall not be deemed to infer the right of action to the members of any or all classes to vote on any matter other than as (i) conferred by these bylaws, (ii) required by law, or (iii) specifically conferred on the members or class of members by the board of directors. There are no corporate matters which are reserved for action by the members in these bylaws.

Form 990, Part VI, Section B, Line 11B

The organization's form 990 is prepared by an outside cpa firm. The management of the organization review the 990 and make any appropriate changes to the draft. When the draft is complete it is then given to the treasurer and finance committee for review and comment. The board of directors is then given one week to review the tax return prior to submission to the irs.

The conflict of interest statements are completed by each member of the board of directors and key employees annually. Board members and staff are also asked to review the policy during an orientation session/teleconference held at the start of each year.

All board members review and approve the compensation package of the president. President proposes compensation for key employees to the executive committee of the board for approval. The executive committee, in consultation with the president & ceo, will determine if compensation studies are necessary each year.

Financial Statement Notes

PART X, LINE 2:

The organization accounts for the effect of any uncertain tax positions based on a "more likely than not" threshhold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. It is management's belief that the orgainization does not hold any uncertain tax positions.
