Governance Explanations

Form 990, Part VI, Section A, Line 1

There is an executive committee which has and may exercise the powers of the board of directors in the interim between board meetings, except that the board shall not delegate to the executive committee the power to approve or amend the annual budget, or to adopt or amend the articles of incorporation or bylaws of the corporation. The executive committee shall submit to the board of directors reports of action taken between board meetings. The executive committee shall consist of the duly elected officers of the corporation.

The organization's president sends a draft of the form 990 to the board. The board reviews the return and upon approval the form 990 is filed.

Form 990, Part VI, Section B, Line 12C

Each new officer, director, or key employee shall be required to review a copy of the conflict of interest policy and to acknowledge in writing that he or she has done so. Each person shall bi-annually complete a disclosure form identifying any relationships, positions or circumstances in which the person is involved that he or she believes could contribute to a conflict of interest arising. Prior to board or committee action on a contract or transaction involving a conflict of interest, an officer, director, or key employee having a conflict and who is in attendance at the meeting shall disclose all facts material to the conflict. Such disclosure shall be reflected in the minutes of the meeting. An officer, director, or key employee who has a conflict shall be excluded from voting on the matter at all times, and shall be excluded from discussion of the matter if necessary.

Housinglink uses the minnesota council of nonprofits annual minnesota nonprofit salary and benefits survey (2014 latest publication) to appropriately determine compensation. Each review cycle, changes in compensation are discussed by the executive committee and then approved by the board of directors. This process was last undertaken in november 2014.

Housinglink has a client service agreement with insperity peo services, lp, an unrelated organization. As a result, insperity is the employer for the purpose of paying wages. Insperity also remits all taxes and files all returns under their name & ein 76-0689539. Insperity is a peo (professional employer organization). The salary, benefits, and payroll tax expenses shown on line 5, 7, 9 and 10 of part x represent amounts paid by insperity as part of the client service agreement. In addition, form 990 part i, line 5 and part v, line 2a state zero for number of employees reported on form w-3. Due to the relationship with insperity, all w-2s are filed by insperity. Olmstead plan housing goal we completed phase i of our work on the olmstead plan housing goal that states, "people with disabilities will choose where they live, with whom, and in what type of housing." we are enhancing our website to include more information on individual rental units and education about affordable rental housing options that may meet the needs of persons with disabilities. Phase i focused on engaging with the community to identify improvements to the website. In 2015 we are implementing these changes! Housinglink created 6 videos to increase fair housing awareness, these are all available in english, hmong, somali, and spanish and are closed captioned as well. The videos are increasing awareness of the protected classes and how to report discrimination. The videos have been viewed over 4,000 times. Twin cities analysis of impediments to fair housing the fair housing implementation council also engaged housinglink to conduct a regional analysis of impediments to fair housing. See it at housinglink.org/research/researchlinks. Project based section 8 renters currently spend hours calling and visiting each individual project based section 8 property in order to get on multiple waiting lists, which are often 12-24 months long. In 2014, housinglink began defining an online resource to centralize these waiting lists so that the process is easier and more efficient for both low-income renters and affordable housing providers. Electronic data feeds management companies can now send openings to housinglink directly from their property management software. This removes the burden from site staff to remember to list openings, and ensures more accurate and timely listings for renters to search on housinglink!

We completed our minnesota foreclosure research at the end of 2013. Now that the crisis has abated, minnesota home ownership center will continue gathering that data. There were 11,834 foreclosures in minnesota in 2013. This number is a 34 percent decrease from 2012, housinglink: 2014-2015 hugh j. Andersen general operating support proposal with the relief being relatively balanced between the twin cities metro area (down 37 percent) and greater mn (down 30 percent). This marks the third consecutive year of double-digit percentage declines in foreclosure, with 2013 coming in at less than half the total number of statewide foreclosures than the last "high water mark" total in 2010. Financial Statement Notes

PART X, LINE 2:

The organization is organized as a minnesota nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(3), qualifies for the charitable contribution deduction under section 170(b)(1)(a)(vi), and has been determined not to be private foundation under sections 509(a)(1), respectively. The organization is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. The organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

THE ORGANIZATION IS ANNUALLY REQUIRED TO FILE A RETURN OF ORGANIZATION EXEMPT FROM INCOME TAX (FORM 990) WITH THE IRS. IN ADDITION, THE ORGANIZATION IS SUBJECT TO INCOME TAX ON NET INCOME THAT IS DERIVED FROM BUSINESS ACTIVITIES THAT ARE UNRELATED TO THEIR EXEMPT PURPOSES. THE ORGANIZATION BELIEVES THAT IT HAS APPROPRIATE SUPPORT FOR ANY TAX POSITIONS TAKEN AFFECTING ITS ANNUAL FILING REQUIREMENTS, AND AS SUCH, DOES NOT HAVE ANY UNCERTAIN TAX POSITIONS THAT ARE MATERIAL TO THE FINANCIAL STATEMENTS. THE ORGANIZATION WOULD RECOGNIZE FUTURE ACCRUED INTEREST AND PENALTIES RELATED TO UNRECOGNIZED TAX BENEFITS AND LIABILITIES IN INCOME TAX EXPENSE IF SUCH INTEREST AND PENALTIES ARE INCURRED.
