Governance Explanations

Form 990, Part VI, Section A, Line 1

There are no material differences in voting rights among members of the governing body, and the governing body has not delegated broad authority to an executive committee or similar committee.

Form 990, Part VI, Section A, Line 4

The articles of incorporation and bylaws were amended as of 6/25/2021 and the changes are effective as of 7/1/2021 as follows: articles of incorporation: article i - amended for change in name of corporation. A copy of amended articles of incorporation and proof of filing with the state of mn attached to return. Article vii directors (formerly article x) - changed to state that there should be no fewer than three directors. Previously stated that the number of directors shall never be less than required by law. Bylaws: article i - previously listed deborah l wexler as the only member of the corporation until her death or resignation, and stated that deborah l wexler may select additional members or may select one or more successor members in the event of her death or resignation, or to select additional members, by written designation deposited with and held by the secretary of the corporation, provided, however, if no such designation is found or made upon the death of deborah l wexler, md, the directors holding office at the time of her death shall be the successor members. Also, article i stated that each member shall be entitled to one vote on each matter submitted to a vote of the members and that after the death of resignation of deborah l wexler, md, the term of office of a member shall be one year or until his or her successor is elected and qualified. Article i amended to state that the corporation shall have no voting corporate members. Article ii board of directors: previously stated that the number of directors shall be no less than three. Amended article ii states that the day-to-day management of the corporation shall be the responsibility of the president and ceo and his or her direct reports. The board shall consist of the ceo of the corporation and elected directors. The board of directors shall consist of no fewer than three elected directors and no more than thirteen elected directors. All board members, including the ceo, shall be voting directors. Article ii previously stated that directors shall be elected for a term of one year or until their successors are elected and qualify. Amended article ii states that elected directors shall be elected for terms of three years and directors may serve no more than two consecutive three year terms. Article ii previously stated that only persons who are directors of the corporation shall be eligible for appointment to the executive committee, and that the board of directors shall appoint two or more directors to serve on the executive committee. Article ii was amended to state that committee chairs and the members of all committees shall be appointed by the board of directors. Members of a committee need not be directors. Committee members will be appointed for a term of one (1) year from their appointment or until their successors are appointed, whichever occurs first. Also, language was added that the executive committee shall include the chair and ceo and any other directors appointed by the board. Article iii officers: article iii previously stated that the officers of the corporation shall be a president, vice president, secretary, treasurer and such other officers as may from time to time be elected by the directors. Each officer shall hold office until the next annual meeting and until his or her successor is elected and has qualified, or until the officer has been removed. Amended article iii states that the board officers of the corporation shall be a chair and a treasurer, and such other officers as the board of directors may, from time to time, elect. A person may hold more than one office with the corporation and board officers shall serve one year terms. There is no limit to the number of successive terms a board officer may serve. Article iii was also amended to state that the ceo is an ex-officio voting member of the board of directors. Iac's bylaws provide that deborah l. Wexler, md, is the sole member of the corporation. She is entitled to elect the board of directors and to take other member action, including adding other members to the corporation. Dr. Wexler has not taken any action as the sole member of the organization other than to appoint professionals to the board of directors for the purpose of promoting iac's goals and mission. As stated in the comment at line 4, effective as of 7/1/2021, the corporation shall have no members.

Review of form 990. The organization's staff provides necessary documentation and data via questionnaires to the accountant. Once the draft of the form 990 has been prepared by the accountant, the organization's management reviews the form for accuracy. When the draft is approved by management, the 990 is sent by electronic means to each board member for review and approval. If there are any changes, they will be incorporated into the draft. Once the board has approved the 990, management conveys approval to the accountant to finalize the draft. Form 990, Part VI, Section B, Line 12C

Written conflict of interest policy. Annually the board, management and all employees review and sign their copies of the conflict of interest policy to disclose any conflicts. Copies are reviewed by management for reportable conflicts. Any conflicts are noted in the board minutes. Board members that have conflicts of interest are prohibited from participating or voting in board activities related to the conflict.

Compensation of executive director. The organization gathers comparable pay data from the state of mn and the mn council of nonprofit salary and benefits survey to determine fairness. Annual review of executive director's salary and benefits is approved by the board, with the executive director excused from the conversation and voting. The executive director received the same percentage increase in her salary as did the rest of the staff. This process was last conducted in september 2015. Compensation of chief strategy officer: in december 2018, the organization obtained an independent review of the chief strategy officers compensation and found it to be reasonable and appropriate. During its december 2018 meeting, the board reviewed and approved the independent report.

The immunization action coalition (iac) works to increase immunization rates and prevent disease by creating and distributing educational materials for healthcare professionals and the public that enhance the delivery of safe and effective immunization services. Iac also facilitates communication about the safety, efficacy, and use of vaccines within the broad immunization community of patients, parents, healthcare organizations, and government health agencies. For more than two decades, the centers for disease control and prevention (cdc) has worked in concert with and provided financial support to iac for the purpose of educating healthcare professionals about u.s. Vaccine recommendations. Cdc first recognized iac's accomplishments in 1997 by awarding it the prestigious partners in public health award "for efforts instrumental in achieving high levels of routine infant hepatitis b immunization." physicians, nurses, and other healthcare professionals at every level of the immunization community, including both the public and private sectors, rely on many of the following projects in their daily work to increase immunization rates across the lifespan.
