Conflict of interest policy compliance Part VI line 12C

STARBASE Minnesota has written guidance in its financial policies with respect to conflict of interest situations and new employees are given direction on avoiding these issues. Employees who conduct purchasing complete a conflict of interest disclosure statement. Additionally, outside organizations such as the United States Fiscal and Property Office, oversee and are vigilant in looking for possible situations where conflict of interest issues may arise. Additionally, the STARBASE Minnesota Executive Director maintains strict vigilance over purchases and potential conflicts of interest. In Dec 2022 the Board of Directors adopted new Bylaws that include a Conflict of Interest Policy and Board Members will be required to disclose potential conflicts on an annual basis.

The executive directors salary is set by the board of directors each year. It is based on key indicators related to managing and directing the organization and accomplishing annual goals and objectives. Benchmarking with other similar organizations is also conducted on an annual basis for the executive directors compensation and for all employees. No compensation was paid to any other individuals defined as officers or key employees.

Financial Statement Notes

Footnote for uncertain tax position under FIN 48 (Part X)

Starbase Minnesota, Inc. is organized as a Minnesota nonprofit corporation and has been recognized by the IRS as exempt from federal income tax under Section 501(a) as organizations described in IRC Section 501(c)(3), qualify for the charitable contribution deduction under IRC Sections 170(b)(1)(A)(vi)and (viii), and have been determined not to be a private foundation under IRC Sections 509(a)(1) and (3), respectively. The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990)with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. Management has determined that the Organization is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS.
