Each board member receives a copy of the 990, including required schedules, for review and approval. Any questions or concers will be noted and addressed, and management staff will ensure that changes are incorporated into the from 990 as appropriate.

Form 990, Part VI, Section B, Line 12C

Our 2015 policy required disclosure of any potential conflict of interest by the board member. The disclosure in the organization should be made to the board president or person acting on their behalf, who shall bring the matter to the attention of the membership. Disclosure involving directors should be made to the board president, (or if she or he is the one with the conflict, then to the board vice-chair) who shall bring these matters to the board of directors or a duly constituted committee thereof. The board of directors or a duly constituted committee thereof shall determine whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to minnesota association of resource conservation and development councils, inc. The decision of the board of directors or a duly constituted committee thereof on these matters will rest in their sole discretion, and their concern must be the welfare of minnesota association of resource conservation and development councils, inc. And the advancement of its cause. In actions of the board and of any staff/volunteers involved in the ranking of grant applicants the conflict of interest policy was reviewed and specifically posed the question regarding potential conflict of interest in these regards. This policy was revised in 2016 to require an annual reminder of the policy and signed document of all board members as to their understanding of the policy.
