The healtheast foundation executive committee has the authority of the healtheast foundation board in the management of the business of the corporation. The executive committee consists of the chair, the vice- chair, the president and any other directors appointed by the chair of the board.

Form 990, Page 6, Part VI, Line 11B

The form 990 is sent electronically to all members of the board of directors prior to the filing of the form 990 and prior to the executive committee and board of directors meetings in which it will be reviewed. A representative of the tax department, if necessary, will attend the executive committee meeting and/or the board of directors meeting to discuss the form 990 with the members of the board and answer any questions from the board.

Form 990, Page 6, Part VI, Line 12C

Healtheast foundation monitors proposed or ongoing transactions for conflicts of interest through the procedures set forth in its conflicts of interest policy (the policy). The policy covers healtheast foundation's directors, officers and members of a committee with board-delegated powers. A director, officer or members of a committee with board-delegated powers who has a direct or indirect financial interest, is an interested person under the terms of the policy. Pursuant to the terms of the policy, in connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial interest and must be given the opportunity to disclose all material facts relating to his or her financial interest to the directors or members of committees with board-delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, the interested person must leave the board (or committee) meeting while the financial interest is discussed and voted upon. The remaining board (or committee) members shall decide if a conflict of interest exists. An interested person may make a presentation at the board or committee meeting regarding the proposed transaction or arrangement, but after such presentation, the interested person shall leave the meeting during the discussion of, and the vote on, the proposed transaction or arrangement that results in the conflict of interest.

Healtheast foundation leases employees from an affiliated organization, healtheast care system, a 501(c)(3) tax-exempt, non-profit organization. According to the form 990 instructions for part vii, we present the leased employees' compensation on part vii and schedule j as if healtheast foundation compensated these employees. The processes used by healtheast care system to establish the compensation of the organization's executive director included review by the compensation committee, an independent compensation consultation, a compensation survey or study and approval by the board or compensation committee.

Form 990, Page 2, Part III, Line 4A

Help fund during the fiscal year were video interpreting for emergency department patients, the reach out and read program in all healtheast clinics, karen new mothers support group, karen chemical dependency collaborative as well as therapeutic recreation for rehabilitation patients at bethesda hospital, support groups for stage 4 cancer patients, mental health and addiction care programs and a drug assistance program. Integrative program services such as healing touch, guided imagery and music therapy were able to be offered to hospital inpatients. The capistrant parkinson's center was able to offer programs such as dance classes and exercise programs to patients as a result of foundation grants. Healtheast foundation also provided grants for furniture, equipment and renovation projects. The garden of hope was created for patients, employees and visitors at healtheast st. John's hospital. Healtheast woodwinds cancer care received new infusion chairs for their patients. The emergency department at healtheast st. Joseph's hospital received funds to improve the safety of patients, employees and visitors. The pillars hospice house was expanded the deck doors at their facility to allow patients to enjoy the outdoors while remaining in a hospital bed. They also received new equipment for patient care, including a tilt-in-space wheelchair and hoyer lift. Healtheast foundation also provides grants to provide educational opportunities for staff in nursing, heart care, cancer care, parkinson's, cyberknife, pharmacy, laboratory, and other patient care areas. The foundatin also continued to support research for kidney stone patients to improve outcomes. Healtheast foundation provides support for spiritual care for patients, their families and employees. We do this by supporting the faith-based identity campaign for employees; expanding the faith community nursing network.

Form 990, Part V

Line 1a: the number of form 1099's reported on form 990, part v, line 1a is for payments to contributors for split-interest agreements. All other cash disbursements are centralized through an affiliated organization, healtheast care system. Therefore the affiliated organization, healtheast care system, makes the payment and files the related form 1099's and form 1096 instead of healtheast foundation. Line 2a: healtheast foundation leases employees from an affiliated organization, healtheast care system, a 501(c)(3) tax-exempt, non-profit organization. Therefore, healtheast care system files the appropriate w-3 and related w-2 tax forms for these individuals instead of healtheast foundation. According to the form 990 instructions for part vii, we reflect the leased employee's compensation on the healtheast foundation form 990, part vii and schedule j, as if healtheast foundation compensates these individuals.

The foundation's endowments consist of approximately 28 individual funds established for a variety of purposes. Its endowment includes donor- restricted funds and funds designated by the board of directors to function as endowments. Some of the endowment purposes are program services, education, scholarships, capital expenditures, equipment, supplies, research and spiritual care. The foundation intends to use their endowment funds in the manner for which they were restricted or designated by the donor or the board of directors.

The following is the text of the footnote to the organizations financial statements that report the organizations liability for uncertain tax positions under asc 740: the foundation has adopted the provisions of the income taxes topic in the fasb accounting standard codification (asc). The income taxes topic clarifies the accounting for uncertainty in income taxes recognized in an organizations financial statements in accordance with the topic and prescribes a recognition threshold and measurement standard for the financial statement recognition and measurement of an income tax position taken or expected to be taken in a tax return. The foundation has reviewed its tax position for all open tax years and has concluded that the adoption of this topic did not affect the financial statement presentation.

OTHER PROGRAM SERVICES THE FOUNDATION CONTINUED TO HELP FUND DURING THE FISCAL YEAR WERE VIDEO INTERPRETING FOR EMERGENCY DEPARTMENT PATIENTS, THE REACH OUT AND READ PROGRAM IN ALL HEALTHEAST CLINICS, KAREN NEW MOTHERS SUPPORT GROUP, KAREN CHEMICAL DEPENDENCY COLLABORATIVE AS WELL AS THERAPEUTIC RECREATION FOR REHABILITATION PATIENTS AT BETHESDA HOSPITAL, SUPPORT GROUPS FOR STAGE 4 CANCER PATIENTS, MENTAL HEALTH AND ADDICTION CARE PROGRAMS AND A DRUG ASSISTANCE PROGRAM. INTEGRATIVE PROGRAM SERVICES SUCH AS HEALING TOUCH, GUIDED IMAGERY AND MUSIC THERAPY WERE ABLE TO BE OFFERED TO HOSPITAL INPATIENTS. THE CAPISTRANT PARKINSON'S CENTER WAS ABLE TO OFFER PROGRAMS SUCH AS DANCE CLASSES AND EXERCISE PROGRAMS TO PATIENTS AS A RESULT OF FOUNDATION GRANTS. HEALTHEAST FOUNDATION ALSO PROVIDED GRANTS FOR FURNITURE, EQUIPMENT AND RENOVATION PROJECTS. THE GARDEN OF HOPE WAS CREATED FOR PATIENTS, EMPLOYEES AND VISITORS AT HEALTHEAST ST. JOHN'S HOSPITAL. HEALTHEAST WOODWINDS CANCER CARE RECEIVED NEW INFUSION CHAIRS FOR THEIR PATIENTS. THE EMERGENCY DEPARTMENT AT HEALTHEAST ST. JOSEPH'S HOSPITAL RECEIVED FUNDS TO IMPROVE THE SAFETY OF PATIENTS, EMPLOYEES AND VISITORS. THE PILLARS HOSPICE HOUSE WAS EXPANDED THE DECK DOORS AT THEIR FACILITY TO ALLOW PATIENTS TO ENJOY THE OUTDOORS WHILE REMAINING IN A HOSPITAL BED. THEY ALSO RECEIVED NEW EQUIPMENT FOR PATIENT CARE, INCLUDING A TILT-IN-SPACE WHEELCHAIR AND HOYER LIFT. HEALTHEAST FOUNDATION ALSO PROVIDES GRANTS TO PROVIDE EDUCATIONAL OPPORTUNITIES FOR STAFF IN NURSING, HEART CARE, CANCER CARE, PARKINSON'S, CYBERKNIFE, PHARMACY, LABORATORY, AND OTHER PATIENT CARE AREAS. THE FOUNDATIN ALSO CONTINUED TO SUPPORT RESEARCH FOR KIDNEY STONE PATIENTS TO IMPROVE OUTCOMES. HEALTHEAST FOUNDATION PROVIDES SUPPORT FOR SPIRITUAL CARE FOR PATIENTS, THEIR FAMILIES AND EMPLOYEES. WE DO THIS BY SUPPORTING THE FAITH-BASED IDENTITY CAMPAIGN FOR EMPLOYEES; EXPANDING THE FAITH COMMUNITY NURSING NETWORK.
