Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 is reviewed and approved by board of directors before being filed with the irs.

Form 990, Part VI, Section B, Line 12C

Board members receive a board packet annually. They fill out the conflict of interest policy and remit to the board chair. Board members may also disclose a conflict as it comes up and recuse themselves.

Form 990, Part VI, Section B, Line 15A

Raises (for all staff, including ed) are determined annually as part of the budget process, with the treasurer and executive committee. Usually this is determined by looking at national cola, as well as a review of the most recent minnesota nonprofit salary and benefits survey. In addition, the board chair conducts and annual performance review of the executive director.
