Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws were amended in the current year to reflect an address change, include the executive director as one of the five members of the nomination committee and document the terms of the board of directors.

Form 990, Part VI, Section A, Line 6

Members are those that have a vested interest in the organization.

Form 990, Part VI, Section A, Line 8B

The organization did not have any committees with the authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

Board members meet with the auditors to review and approve the form 990 before submission to the irs.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers any director, principal officer, or member of a committee with governing board delegated powers. An interested person must disclose the existence of a potential conflict of interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members decide if a conflict of interest exists. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee determines by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it make its decision as to whether to enter into the transaction or arrangement. All proceedings are documented in the meeting minutes or as otherwise appropriate.

Form 990, Part VI, Section B, Line 15A

The personnel committee of the board determines the compensation of the executive director using appropriate comparability data. The committee's decision is emailed and kept on file. The most recent year this process was completed for the executive director was 2016. The executive director reviewed salaries within the organization, and compared them with similar positions in the state of minnesota by using the minnesota council of non-profits salary analysis. The executive director brought the data to the board members to discuss areas where increases were necessary, and a general increase for other employees.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents and financial statements available to the public on guidestar and at the minnesota secretary of state's office. The organization does not make its conflict of interest policy available to the public.
