Governance Explanations

Form 990, Part VI, Section B, Line 11

The executive director will review the form 990 documents with the board of directors at the quarterly board meeting to be held in june.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is enforced for directors, officers and other employees. If there is a potential conflict of interest, it will need to be disclosed to the executive director which then will be presented to the board. If the board determines that there is a conflict, then that person will be excused from participating in any of the activities. New significant activities are discussed to determine any obvious conflicts of interest. All staff members are routinely regulated.

Form 990, Part VI, Section B, Line 15

Executive director (annually): co-chairs of the board of directors look at salary surveys and determine the details of the employment agreement. The review was last done in 2015. Program director, finance manager - annually: the executive director reviews salary surveys and job performance, then makes recommendations to the board co-chairs. The review was last done in 2015.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy and financial statements are made available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service, in a letter dated july 16, 1993, reaffirmed that the service bureau is exempt from federal income tax under section 501(a) of the internal revenue code, as an organization described in section 501(c)(3). However, taxes would be computed on net income earned, if any, from sources unrelated to the service bureau's exempt purpose. In fiscal years 2014 and 2013, the service bureau had no unrelated business income subject to tax. The service bureau follows the provisions of accounting for uncertainty in income taxes. This standard clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribes a recognition threshold for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. The service bureau has no uncertain tax positions.
