Governance Explanations

The board finance committee reviews the 990 in-depth and approves. Two of the finance committee members are executive committee members of the board. The board treasurer presents the 990 to the full board. The board chair signs the 990.

Form 990, Part VI, Section B, Line 12C

New board members and key management staff personnel are required to review the conflict of interest policy and sign a statement that he or she has done so. Each director and key staff person also annually completes a disclosure form identifying any relationships, positions or circumstances which could be considered a conflict of interest. The board of directors also reviews the conflict of interest policy annually.

Local market surveys and nonprofit association surveys are used to determine a wage range for all positions. This range of salaries is used by the board to determine compensation for key management. The board human resource committee assists in development of all wage scales. The executive committee (with input from the full board) reviews the executive director and determines compensation on an annual basis.

PART X, LINE 2:

Asc 740 disclosure from audited financial statements: the organization is exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code, therefore, the statements do not include a provision for income taxes but is subject to income tax on unrelated business income. The organization had no unrelated business income tax in 2015 and 2014. The organization reviews income tax positions taken or expected to be taken in income tax returns to determine if there are any income tax uncertainties. This includes positions that the entity is exempt from income taxes or not subject to income taxes on unrelated business income. The organization recognizes tax benefits from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by taxing authorities, based on the technical merits of the positions. The organization has identified no income tax uncertainties. The organization files information returns as a tax-exempt organization. Should that status be challenged in the future, all years since inception could be subject to review by the irs. The organization's federal and state returns are open to examination for tax years 2011 through 2013.

THROUGH THESE SERVICES, WE REDUCE ISOLATION, FOSTER HEALTH AND GOOD NUTRITION AND SUPPORT INDEPENDENCE AMONG THIS RAPIDLY GROWING POPULATION. IN 2014/2015, STORE TO DOOR COMPLETED 22,202 GROCERY DELIVERIES TO 1,798 ELDERLY ADULTS THROUGHOUT THE 7 COUNTY MINNEAPOLIS-ST. PAUL METRO AREA. APPROXIMATELY 70 PERCENT OF CLIENTS HAVE (CONTINUED ON SCHEDULE O) INCOMES BELOW THE FEDERAL POVERTY LEVEL OR WITHIN 200% OF THE FEDERAL POVERTY LEVEL; 85 PERCENT LIVE ALONE; 84 PERCENT ARE WOMEN, AND 55 PERCENT ARE AGE 80 OR OLDER. THE VALUE OF THE GROCERIES DELIVERED TO CLIENTS WAS $1.960 MILLION. WHILE CLIENTS PAY FOR THE GROCERIES, 18.28 OR 88% OF OUR TOTAL 20.8 FTES IS ENGAGED IN ORDERING, SHOPPING, RECORDING AND PROCESSING PAYMENTS FOR THE GROCERY ACTIVITY. IN ADDITION TO BASIC GROCERY SHOPPING AND DELIVERY SERVICES, 1557 FREE FOOD DELIVERIES WERE MADE TO 180 LOW INCOME SENIOR HOUSEHOLDS THROUGH PARTNERSHIPS WITH LOCAL FOOD SHELF PROGRAMS.
