The board of directors may designate an executive committee consisting of at lease three directors of this corporation. The executive committee has the authority of the board of directors in the management of the business of the corporation in the interval between meetings of the board of directors, and the executive committee is at all times subject to the control and direction of the board of directors.

The form 990 is reviewed in detail by management and the finance committee. The finance committee chair will then present the form 990 to the board at the next regular meeting, before the form 990 is filed.

Form 990, Part VI, Section B, Line 12C

Family housing fund's conflict of interest policy requires that, prior to action on a contract or transaction involving a conflict of interest, a director or responsible person who has a conflict of interest disclose all facts material to the conflict of interest. A person who has a conflict of interest shall not participate in the board's discussion on the matter except to disclose material facts and to respond to questions. Such persons shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. Such disclosures will be reflected in the minutes of the meeting. If it was not entirely clear whether or not a conflict of interest exists, then the person with the potential conflict will disclose the circumstances to the president, the chair or the chair's designee, who shall determine whether there exists a conflict of interest. Each responsible party is required to annually submit a disclosure form identifying the businesses and nonprofit organizations of which such responsible person is a director, officer, employee or partner or in which such person has an ownership interest of five percent or more. The policy is reviewed annually.

The president's compensation is reviewed annually by the executive committee, with the board being informed of the approval after. This was last done in 2014 for 2014 compensation. Compensation for key employees is based on job description and performance reviews. The president looks at these and sets compensation which is approved by the board as part of the annual budget. Comparability data is used periodically but not annually.

Financial Statement Notes

PART X, LINE 2:

The fund is a tax exempt organization under section 501(c)(3) of the internal revenue code and is subject to federal income tax only on net unrelated business income. The fund currently has no unrelated business income and is not considered a private foundation within the meaning of section 509(a) of the internal revenue code and all charitable contributions are considered tax deductible. The fund follows the accounting standard that clarifies the accounting for uncertainty in income taxes. The policy prescribes a recognition threshold and measurement principles for the financial statement recognition and measurement of tax positions taken or expected to be taken on a tax return that are not certain to be realized. The implementation of this policy had no impact on fund's financial statements. The fund files as a tax-exempt organization.

THE HPF DEVELOPMENT PARTNERS REHABILITATED 6 PREVIOUSLY VACANT OR BOARDED UP PROPERTIES AND 22 FORECLOSED HOUSES. FORMED BY THE FHFUND IN 2009, THE TWIN CITIES COMMUNITY LAND BANK LLC (LAND BANK) IS A STRATEGIC TOOL TO RESPOND QUICKLY AND EFFECTIVELY TO CHALLENGES AND OPPORTUNITIES IN AFFORDABLE HOUSING AND ECONOMIC DEVELOPMENT. THE LAND BANK AND ITS STAFF HAVE DEVELOPED A STRONG REPUTATION AND EXPERTISE, MAKING THEM VALUABLE CONSULTANTS TO PARTNERS ON COMMERCIAL REAL ESTATE BROKERAGE AND LAND ASSEMBLY. ON DECEMBER 31, 2015 THE LAND BANK SEPARATED FROM THE FHFUND, BECOMING ITS OWN NONPROFIT ORGANIZATION. IN 2015, THE LAND BANK PURCHASED AND RESOLD 35 SINGLE FAMILY PROPERTIES TO DEVELOPER PARTNERS, MADE 39 LOANS TO DEVELOPERS, AND ACQUIRED FOUR STRATEGICALLY LOCATED PROPERTIES. THE LAND BANK ALSO CLOSED ON TWO COMMERCIAL PROJECT LOANS IN 2015. THE FHFUND INVESTS IN COORDINATING CONSULTANTS FOR ITS TWO NEIGHBORHOOD COLLABORATIONS: THE FROGTOWN RONDO HOME FUND AND NORTHSIDE HOME FUND. THE INDEPENDENT COORDINATING CONSULTANTS HAVE PROVEN HIGHLY EFFECTIVE IN ADDING VALUE TO EXISTING NEIGHBORHOOD, CITY, AND COMMUNITY EFFORTS TO SUPPORT SAFE, VIBRANT, AND SUSTAINABLE COMMUNITIES. THE FROGTOWN RONDO HOME FUND (FRHF) CREATES VIBRANT AND INTEGRATED COMMUNITIES THROUGH COORDINATED PUBLIC AND SOCIAL SECTOR HOUSING INVESTMENTS IN ST. PAUL'S FROGTOWN AND RONDO NEIGHBORHOODS. FRHF FACILITATES COLLABORATION OF 38 PARTNERS. IN 2015, THE FAMILY HOUSING FUND FULFILLED FIVE REQUESTS FOR FUNDING, TOTALING $84,597, THROUGH THE FRHF. THESE SMALL GRANTS FUNDED PILOT PROJECTS AND NEW COLLABORATIONS THAT WERE UNLIKELY TO RECEIVE FUNDS FROM TRADITIONAL PHILANTHROPY, BUT MADE SIGNIFICANT CONTRIBUTIONS TO RESIDENT ENGAGEMENT, TENANT EDUCATION, AND THE PRODUCTION OF AFFORDABLE HOUSING. FRHF ALSO HELPED SECURE OVER $1 MILLION IN ONGOING STATE FUNDING FOR RENTAL ASSISTANCE FOR FAMILIES IN THE FROGTOWN AND RONDO NEIGHBORHOODS. THE NORTHSIDE HOME FUND, WHICH WORKS TO STABILIZE AND EXPAND MINNEAPOLIS'S NORTHSIDE'S BASE OF SUCCESSFUL HOMEOWNERS, SUPPORTED THE SALE OF 29 HOMES THROUGH THE CITY OF MINNEAPOLIS'S GREEN HOMES NORTH PROGRAM. SIX OF THE SALES WERE LOCATED IN THE NORTHSIDE HOME FUND'S HAWTHORNE ECO VILLAGE CLUSTER AREA. PARTNER'S EFFORTS ARE CONTRIBUTING TO OVERALL MARKET IMPROVEMENT IN NORTH MINNEAPOLIS. IN 2015, THE MEDIAN SALE PRICE FOR ALL HOMES SALES INCREASED 23.8% IN NEAR NORTH AND 20.5% IN CAMDEN. NON-DISTRESSED SALES ALONE INCREASED 8.9% IN NEAR NORTH AND 13.2% IN CAMDEN. BY FOCUSING ON QUALITY, ENERGY EFFICIENT, GREEN HOMES, PARTNERS HAVE IMPROVED THE ABILITY TO ATTRACT BUYERS TO THE NEIGHBORHOOD.
