Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization revised its bylaws during the current year. The membership of the board is limited in number to thirteen voting members. Additionally, the bylaws were updated to allow the participation of board members in meetings by telephone or other electronic means, with this participation considered in determining required meeting quorums. The bylaw revisions included delegation of financial authority to the executive director to allow him to sign checks for payment of money, to sign instruments of indebtedness, to enter into contracts and other transactions that are ordinary in nature.

A copy of the form 990 was provided to the board of directors for review, and was approved, prior to filing.

Form 990, Part VI, Section B, Line 12C

Officers, directors and key employees are required to complete a conflict of interest form annually. A person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken, unless the vote is by secret ballot.

Form 990, Part VI, Section B, Line 15A

An ad hoc committee of the board conducts a 360 degree evaluation, compiles and presents the results with recommendations to the board. The board meets with the executive director on the results. Compensation is based on performance and the mn council of nonprofits annual salary survey data. This review was last completed in 2016. No other officers receive compensation and none of the organization's other employees meet the irs definition of a key employee for purposes of this disclosure.
