Governance Explanations

Form 990, Part VI, Section A, Line 1

Pursuant to the organization by-laws (4.8) the executive committee authority is limited to specific items referred to it by the board and shall act only in the interval between regular board meetings.

Form 990, Part VI, Section A, Line 6

The organization has regular, associate and participating members. Only regular members have voting rights. The amount paid in dues to the organization is determined by the number of subscribers to cable services provided by the member, and this also determines the number of voting ballots allocated to the member.

Form 990, Part VI, Section A, Line 7A

Election of board members take place at the annual meeting of the organization. Only regular members may elect the board of the directors.

Form 990, Part VI, Section A, Line 7B

Members must approve all changes to the articles of incorporation or bylaws.

Form 990, Part VI, Section B, Line 11

Form 990 is prepared by the professional accounting firm and a draft version is forwarded to the executive director for review. After changes are made, this document is then submitted to the organization treasurer who is a member of the board of director's executive committee. After he reviews the document and distributes to the members of the board. It is placed on the agenda of the next board meeting.

Form 990, Part VI, Section B, Line 12C

Each director, officer, and member of a committee with governing board powers is required to annually sign a statement affirming they understand the policy and are in compliance.

Form 990, Part VI, Section B, Line 15

The organization's written conflict of interest policy requires periodic reviews to determine whether compensation arrangements are reasonable, based on competent survey information and the result of arms length bargaining.

Form 990, Part VI, Section C, Line 19

Public documents will be made available upon request.

PART X, LINE 2:

A tax expense or benefit from an uncertain income tax position (including tax-exempt status) may be recognized only when it is more likely than not that the position will be sustained upon examination by taxing authorities. Management believes the association has no uncertain income tax positions that would result in an accrual, expense or benefit under the more likely than not standard.
