Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee may exercise the authority of the board of directors in the management of the affairs of the organization during the intervals between meetings of the board of directors, subject at all times to the bylaws of the organization.

Form 990, Part VI, Section A, Line 6

The organization has regular, associate and participating members. Only regular members have voting rights. The amount paid in dues to the organization is determined by the number of subscribers to cable services provided by the member, and this also determines the number of voting ballots allocated to the member.

Form 990, Part VI, Section A, Line 7A

Election of board members take place at the annual meeting of the organization. Only regular members may elect the board of the directors.

Form 990, Part VI, Section A, Line 7B

Members must approve all changes to the articles of incorporation or bylaws.

Form 990, Part VI, Section B, Line 11B

Form 990 is prepared by the professional accounting firm and a draft version is forwarded to the executive director for review. After changes are made, this document is then submitted to the organization treasurer who is a member of the board of director's executive committee. After she reviews the document and distributes to the members of the board, it is also placed on the agenda of the next board meeting.

Form 990, Part VI, Section B, Line 12C

Each director, officer, and member of a committee with governing board powers is required to annually sign a statement affirming they understand the policy and are in compliance.

Form 990, Part VI, Section B, Line 15

The organization's written conflict of interest policy requires periodic reviews to determine whether compensation arrangements are reasonable; based on competent survey information and the result of arm's length bargaining.

Form 990, Part VI, Section C, Line 19

Public documents will be made available upon request.

Form 990, Part III, Line 2

Starting in 2019, mcca will conduct greater emphasis on local government activity and monitoring.

Financial Statement Notes

PART X, LINE 2:

A tax expense or benefit from an uncertain income tax position (including tax-exempt status) may be recognized only when it is more likely than not that the position will be sustained upon examination by taxing authorities. Management believes the association has no uncertain income tax positions that would result in an accrual, expense or benefit under the more likely than not standard.

PARTS XI & XII:

The association implemented the provisions of accounting standards update (asu) 2014-09, revenue from contracts with customers (topic 606) and 2018-08, clarifying the scope and the accounting guidance for contributions received and contributions made. The intent of the new standards is to improve the usefulness and understandability of the association's financial statements. Asu 2014-09 provides new revenue recognition standards, eliminating the transaction- and industry-specific revenue recognition guidance and replaces it with a principle-based approach for determining revenue recognition. Asu 2018-08 clarifies and improves existing guidance related to contributions received and contributions made. Analysis of various provisions of these standards resulted in no significant changes in the way the association recognized revenue, and therefore no changes to 2019 form 990 were required on a retrospective basis.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0A TAX EXPENSE OR BENEFIT FROM AN UNCERTAIN INCOME TAX POSITION (INCLUDING TAX-EXEMPT STATUS) MAY BE RECOGNIZED ONLY WHEN IT IS MORE LIKELY THAN NOT THAT THE POSITION WILL BE SUSTAINED UPON EXAMINATION BY TAXING AUTHORITIES. MANAGEMENT BELIEVES THE ASSOCIATION HAS NO UNCERTAIN INCOME TAX POSITIONS THAT WOULD RESULT IN AN ACCRUAL, EXPENSE OR BENEFIT UNDER THE MORE LIKELY THAN NOT STANDARD.
IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1THE ASSOCIATION IMPLEMENTED THE PROVISIONS OF ACCOUNTING STANDARDS UPDATE (ASU) 2014-09, REVENUE FROM CONTRACTS WITH CUSTOMERS (TOPIC 606) AND 2018-08, CLARIFYING THE SCOPE AND THE ACCOUNTING GUIDANCE FOR CONTRIBUTIONS RECEIVED AND CONTRIBUTIONS MADE.
