Governance Explanations

Form 990, Part VI, Section A, Line 4

The articles of incorporation were amended in april of 2014 to remove the minimum and maximum number of board members and terms for board members.

Form 990, Part VI, Section A, Line 8B

There are no committees with authority to act on behalf of the board.

Form 990, Part VI, Section B, Line 11

The form 990 is reviewed by the organization's accounting staff and president/ceo. The draft form 990 is presented to the audit committee and a final draft is distributed to the board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

The scope of the conflict of interest policy covers the board of directors and officers of the organization. At the first meeting of the year, each board member discloses and discusses any potential conflicts. If a conflict is deemed to exist, the effected board member would not discuss or vote on the conflicted issue.

Form 990, Part VI, Section B, Line 15A

Salary survey information is compiled by human resources and provided to the board chair. The board then meets in october to discuss the president/ceo's performance and establishes salary and benefits for the upcoming year. The process was last completed in december of 2014.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy and financial statements are made available upon request. The financial statements are posted on the organization's website.

Financial Statement Notes

PART V, LINE 4:

The organization's endowment consists of a fund established for the purpose of providing funds for the b. Robert lewis house program. The principal is to be invested in perpetuity and the investment income thereon may be expended for certain b. Robert lewis house program activities (intervention and prevention).

PART X, LINE 2:

360 communities is organized as a minnesota nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(3), qualifies for the charitable contribution deduction under section 170(b)(1)(a)(vi), and has been determined not to be a private foundation under section 509(a)(1). The organization is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the organization is subject to income tax on net income that is derived from business activities that are unrelated to the exempt purpose. The organization has determined it is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990-t) with the irs. The organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The organization would recognize future accrued interest and penalties relted to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

PART XI, LINE 4B - OTHER ADJUSTMENTS:

Loss on sale of assets reported in revenue for tax

PART XII, LINE 2D - OTHER ADJUSTMENTS:

Loss on sale of assets reported in revenue for tax
