Mission and Program Overview

Mission

The purpose of the association is to protect and assist municipally owned utilities. The association represents its members' interests in legislative, communications, finance, safety and training, and other advice and service to provide for the ultimate benefit of the consumers of energy in an efficient and economical manner. The association also provides educational programs in connection with the operations of the utility industry.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is made up of the president, president-elect, secretary/treasurer and most immediate past president; if that person is still a member of the board otherwise another director elected by the board. The executive committee may act in place of the board of directors in the interval between meetings of the board. At all times, the executive committee is subject to the control and direction of the board and shall keep regular minutes of its proceedings and a written report of its actions made to the board not later than the next meeting of the board.

Regular members (cities that have municipal utilities); affiliate members (municipal power agencies); associate members (vendors, consultants and out of state cities); honorary members (individuals who are known to be in harmony with the purpose of this organization)

Regular members elect the board of directors and president-elect. Regular members may each cast one vote on any matter coming before member meetings. Affiliate and associate members shell periodically designate a single representative; however affiliate and associate and honorary members have no voting rights.

Regular members (municipals) approve a dues resolution each year as well as any assessments and changes to the by-laws and articles of incorporation.

The finance director conducted a review of the form 990. The executive director is given a draft of the form 990 and approves the final copy that is filed. The board reviewed and approved the form 990 prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

All board members, management and employees (or a family member of any of the foregoing) are covered under the policy. Annually each board member, management, and employee shall complete a disclosure form identifying any relationships, positions or circumstances in which he/she is involved that he/she believes could contribute to a conflict of interest. During the course of the year if a conflict of interest or possible conflict of interest arises, that person needs to notify the board, their supervisor, or the executive director. Prior to board action on a contract or transaction involving a conflict of interest, the director or interested party involved shall disclose all material facts. Such disclosure shall be reflected in the minutes of the meeting. A person who has a conflict of interest shall not participate in or be permitted to hear the board's discussions of the matter, except to answer questions. A person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken. Interested persons who are not members of the board or who have a conflict of interest that is not the subject of board action shall refrain from any action that may affect the organization's participation in such contract or transaction.

The association's board officers and directors receive no compensation for their services. The executive director's compensation is reviewed annually as part of the budget approval process conducted and approved by the board of directors and is documented in the meeting minutes. Any merit increases and cost of living adjustments are reviewed as part of this process. The process was last undertaken in 2013 for the executive director, j. Kegel.

Financial Statement Notes

PART X, LINE 2:

The association is classified as a tax-exempt organization under section 501(c)(6) of the internal revenue code and, accordingly, is not subject to federal income taxes. As such, it is subject to federal and state income taxes on net unrelated business income. The association currently has no unrelated business income. The association adopted the accounting standards for contingencies in evaluating uncertain tax positions and files as a tax-exempt organization. No liability has been recognized by the association as a result of the implementation of this standard. Should that status be challenged in the future, all years since inception could be subject to review by the irs. The 2011 through 2014 tax years are open for examination by the irs.
