Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is currently comprised of 4 directors voted by the board to serve as officers (chairperson, vice-chairperson, secretary, treasurer). All are part of the governing body. The board may elect other officers as deemed necessary with the provisions of the bylaws. The executive committee may act in crisis and emergency situations on behalf of the full board, providing that action is ratified by the full board at the earliest possible date. The executive committee may transact routine and ordinary business between board meetings and note anything considered substantial in nature which requires full board approval. They coordinate function and communication of other committees, assist with recruitment and selection of low income and private sector board members, and advise the board regarding revisions of bylaws. The chair shall serve as the ceo and shall sign all official documents of the agency as authorized by the board, and may co-sign checks in the treasurer's absence. The treasurer shall have custody of all monies and securities of the agency in such bank or banks as the board may designate. The treasurer shall co-sign checks and ensure the accounts of the agency are audited at least annually.

This is defined in the bylaws and personnel policies. Board members sign an annual conflict of interest statement to disclose of any conflicts in advance; and in any conversation and/or vote a member is expected to recuse themselves from voting if a conflict exists whether it was part of the known list or not. The board minutes identify a member excusing themselves. Board members are specifically required to abstain from a vote if a conflict of interest exists.

Form 990, Part VI, Section B, Line 15A

The salary for other key employees (fiscal manager) is determined by the mn council of non-profits wage & salary survey , the mn department of employment & economic development wage survey, and/or other relevant available surveys. Input from multiple interviewers is placed on a matrix and requirements from the national head start association are followed if that individual is acting as the key financial officer. This position was not filled in 2025; contracted staff was utilized. The board of directors, along with the personnel/executive committee, determines the executive director's compensation through 1) annual performance review and 2) reference to the mn council of non-profits wage & salary survey and the mn department of employment & economic development wage survey (and/or other relevant available surveys). The performance review for the executive director was held on december 26, 2024. A wage increase was not provided in fy25; this decision was not related to performance issues.

Financial Statement Notes

PART X, LINE 2:

Wright county community action, inc. Has been classified as an other-than private foundation and is exempt from income tax under section 501(c)(3) of the internal revenue code (irc). The organization is subject to a tax on income from any unrelated business. Income tax benefits are recognized for income tax positions taken or expected to be taken in a tax return, only when it is determined that the income tax position will more-likely-than-not be sustained upon examination by taxing authorities. The organization has analyzed tax positions taken for filing with the internal revenue service and all state jurisdictions where it operates. The organization believes that income tax filing positions will be sustained upon examination and does not anticipate any adjustments that would result in a material adverse affect on the organization's financial condition, results of operations or cash flows. Accordingly, the organization has not recorded any reserves, or related accruals for interest and penalties for uncertain income tax positions. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.

PROGRAM SPECIFIC SERVICES INCLUDES: HEAD START SERVED 177 HOUSEHOLDS; TRANSITIONAL HOUSING PROGRAM SERVED 18 HOMELESS FAMILIES THROUGH RENT SUPPORT AND CASE MANAGEMENT; 52 HOUSEHOLDS RECEIVED PERSONALIZED FORECLOSURE COUNSELING; THE FOOD SHELF SUPPORTED 723 HOUSEHOLDS AND DISTRIBUTED EMERGENCY CLOTHING TO 40 HOUSEHOLDS THROUGH THE THRIFT SHOP; 385 HOUSEHOLDS HAD THEIR TAXES PREPARED BY OUR VOLUNTEERS; OUR AGING SERVICES HELPED 146 HOUSEHOLDS WITH AN OLDER ADULT MAINTAIN INDEPENDENT LIVING; ENERGY ASSISTANCE WAS PROVIDED TO 1,924 HOUSEHOLDS AND 34 OF THESE WERE ABLE TO HAVE WEATHERIZATION SERVICES COMPLETED; 236 INDIVIDUALS WERE SERVED BY A MNSURE NAVIGATOR. FINALLY, OUR WIC PROGRAM SERVED 2,980 INDIVIDUALS, WHICH SURPASSED THE STATE'S EXPECTED CASELOAD FOR THE COUNTY. OUTCOMES DATA CAN BE FOUND IN OUR ANNUAL REPORT.
