The Guthrie Theater, founded in 1963, is an American center for theater performance, production, education, and professional training. By presenting both classical literature and new work from diverse cultures, the Guthrie illuminates the common humanity connecting Minnesota to the peoples of the world.

Each year, all Board members and senior executives submit to management a written disclosure statement identifying any known, real, and potential conflicts of interest. A summary of these conflicts is reviewed by the Governance Committee and reported to the BOD. Additionally, management reviews the documents and conducts business with outside parties based solely on what is in the best interest of the theater.

The Executive Director position compensation is discussed and approved by a special committee of the BOD. An independent compensation consultant is retained to help determine a reasonable amount of compensation based on specific criteria. As part of the independent consultant's review, comparable executive compensation data from other large cultural institutions across the country is used.

Part X, Line 2:

The Guthrie is classified as a tax-exempt organization under Minnesota Statute Sections 290.05 and 501(c)(3) of the Internal Revenue Code and is not a private foundation under Sections 509(a)(1) and 170(b)(1)(A)(vi) of the Internal Revenue Code and, as such, is exempt from taxes except on unrelated business income. The Guthrie did not have any unrelated business income for the year ended August 31, 2015. The Guthrie's accounting policy provides, that a tax expense/benefit from an uncertain tax position may be recognized when it is more likely than not that the position will be sustained upon examination, including resolutions of any related appeals or litigation processes, based on the technical merits. The Guthrie has no uncertain tax positions resulting in an accrual of tax expenses or benefit as of August 31, 2015.

IRS990/Desc0The 2014-2015 season was the last of Artistic Director Joe Dowling's 20 years at the helm of the Guthrie Theater, and as such, the programming was characterized by titles of particular significance in his long career. Mr Dowling directed three of the season's mainstage productions, including Shakespeare's "A Midsummer Night's Dream," Arthur Miller's "The Crucible, and Sean O'Casey's "Juno and the Paycock," the work that first brought international notice to Mr. Dowling's directing talent. The season also included Mary Zimmerman's "The White Snake," for which she served as director; "The Heidi Chronicles," by Pulitzer Prize winning playwright Wendy Wasserstein; Tarell Alvin McCraney's "The Choir Boy;" a co-production with the American Conservatory Theater of Anne Washburn's "Mr. Burns, a post-electric play; and Meredith Willson's beloved "The Music Man." Additionally, the Guthrie collaborated with other local and national theater companies to present 9 additional works and also produced its annual holiday favorite, "A Christmas Carol." In total, there were 671 performances of 29 productions attended by over 378,000 people. In February 2015, Mr. Dowling's sucessor, Joseph Haj, was named as the next artistic director and began his tenure in July.
