Upon election, the board of directors reviews policies and procedures. The conflict of interest policy is reviewed in detail. The board of directors is provided a complete copy of the policy manual. Annually the board of directors are required to sign a conflict of interest statement that identifies any potential conflict for either themselves or their immediate family. The executive director is charged with monitoring any identified or potential conflicts and for ensuring compliance with the policy.

The compensation of the executive director is reviewed and approved by the board of directors, provided that persons with conflicts of interest with respect to the compensation arrangement at issue are not involved in this review and approval. The compensation of the executive director is determined, in part, using data for comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations. There is contemporaneous documentation and recordkeeping with respect to the decisions regarding the compensation arrangement.

Accounting principles generally accepted in the united states of america require the chapter to evaluate tax positions taken and recognize a tax liability if the chapter has taken an uncertain position that more likely than not would not be sustained upon examination by tax authorities.
