“Any person, firm, partnership, corporation or association engaged in the business of retailing in the state of minnesota is eligible to become an active member of the association by written application. Membership will be granted for any applicant unless a majority of the board of directors votes to the contrary. Persons, firms, partnerships or corporations in an industry group such as banks, newspapers, radio or television stations and credit bureaus that have a vested interest in the success of the retail business may be established as a separate category of associate members. A person, firm, partnership or corporation who has performed an extraordinary service or services on behalf of retail business may be established as a separate category of associate members.”

“A copy of the form 990 is given to all board members at the meeting for their review before filing with the irs.”

“The president's compensation is reviewed and approved by a few independent members of the board of directors. The most recent year in which comparability data and contemporaneous substantiation of the deliberation and decision was 2011 for the former president, b. Steinhoff and in 2012 for b. Nustad. The president determines the compensation for all other employees that is completed annually as an end of the year performance review.”
