“The executive committee consists of members of the board of directors, including the chair of the association. The executive committee may act for and in the name of the board of directors between meetings of the board of directors. The executive committee reports to the board of directors on the committee's actions by sending minutes of the committee's meetings to all members of the board of directors.”

“Any person, firm, partnership, corporation or association engaged in the business of retailing in the state of minnesota is eligible to become an active member of the association by written application. Membership will be granted for any applicant unless a majority of the board of directors votes to the contrary. Persons, firms, partnerships or corporations in an industry group such as banks, newspapers, radio or television stations and credit bureaus that have a vested interest in the success of the retail business may be established as a separate category of associate members. A person, firm, partnership or corporation who has performed an extraordinary service or services on behalf of retail business may be established as a separate category of associate members.”

“A copy of the form 990 is circulated to all board members for review before filing with the irs.”

“The president's compensation is reviewed and approved by a few independent members of the board of directors. The president's last performance and salary review was done in june of 2017, with executive committee approval using comparability data. The president determines the compensation for all other employees which is completed annually as an end-of-year performance review.”

“The association's governing documents are available upon request. The association's conflict of interest statement and financial statements are not made available to the public.”
