Tri-county health care has various powers concerning the governance of tri-county hospital, including appointment and removal of directors of the corporation.

Form 990, Part VI, Section A, Line 7B

The sole corporate member, tchc, has reserved to itself the following powers concerning the governance of the corporation: (a) approval of the corporation's annual operating and capital budgets and financial policies; (b) approval of the grant of a security interest in all or substantially all of the corporation's assets, or the incurrence of indebtedness or the guaranty of any indebtedness; (c) approval of all strategic plans of the corporation; (d) appointment and removal of directors of the corporation; (e) ratification and approval of officers of the corporation; (f) approval of employee and executive compensation plans for the corporation, including criteria for incentive compensation arrangements; (g) approval of all risk management policies of the corporation; (h) approval of any transaction which may affect the corporation's status as an organization exempt from federal income taxation and approve any tax exempt financing; (i) approval of all accounting systems of the corporation; (j) approval of amendments to the articles of incorporation or bylaws of the corporation; (k) approval of any mission statement or statement of corporate purpose of the corporation; (l) approval of conflicts of interest policies of the corporation; (m) approval of alliances, joint ventures and acquisitions, new lines of business, all substantive live affiliations between the corporation and a third party, or the termination of any existing line of business; (n) entering into or amending all contracts of the corporation; (o) approval of any plans of merger or consolidation by the corporation with any foreign or domestic corporation, voluntary dissolution of the corporation, or sale, lease or transfer of the corporation's real estate or a significant portion of the operations or assets of the corporation; (p) exercise of material ownership or governance rights, including voting rights, that the corporation possesses as a member, shareholder or partner of any organization. "material" for this purpose shall be defined in a resolution adopted by the member, as modified from time to time; and (q) development of policies regarding the implementation of any of the reserved powers described above.

The hospital maintains the employee scholarship fund. Donations are taken from vending/phone commission and pop can salvage which are then used for scholarships for children of employees.

The application of these provisions has no impact on the system's financial statements. The system's income tax returns are subject to review and examination by federal, state,and local authorities. THE ACCOMPLISHMENTS WHICH FOLLOW HIGHLIGHT THE COMMITMENT OF TCH TO ITS COMMUNITIES.REQUIREMENTS OF THE IRS COMMUNITY BENEFIT STANDARD FOR TAX-EXEMPT ORGANIZATIONS ARE INTEGRAL TO TCH'S LARGER CHARITABLE MISSION OF "IMPROVING THE HEALTH OF THE COMMUNITIES WE SERVE." TCH IS GOVERNED BY AN INDEPENDENT BOARD INCLUDING COMMUNITY LEADERS, BUSINESS EXPERTS, AND CLINICAL HEALTHCARE EXPERTS AND HAS BEEN PROACTIVELY EVALUATING OPPORTUNITIES TO VOLUNTARILY ADOPT GOVERNANCE BEST PRACTICES TO ENSURE THE ORGANIZATION CONTINUES TO OPERATE WITH THE HIGHEST INTEGRITY FOR THE BENEFIT OF THE COMMUNITY.TCH, A CERTIFIED CRITICAL ACCESS HOSPITAL OPERATES 25 BEDS AND PROVIDES NEEDED MEDICAL SERVICES AND PATIENT CARE TO ALL PATIENTS REGARDLESS OF ABILITY TO PAY. SERVICES INCLUDE INPATIENT, OUTPATIENT, EMERGENCY, SURGICAL, CORONARY, INTENSIVE, OBSTETRICAL, AND PEDIATRIC NURSING CARE. ANCILLARY SERVICES INCLUDE LABORATORY, RADIOLOGICAL, THERAPY SERVICES, REHABILITATIVE, AND PHARMACY. TRI-COUNTY HOSPITAL IS THE LARGEST EMPLOYER IN THE COMMUNITY, EMPLOYING 441 STAFF DURING 2013.TRI COUNTY HOSPITAL'S UNCOMPENSATED CARE (CHARITY CARE) PROGRAM PROVIDES DISCOUNTED AND FREE SERVICES TO PATIENTS WHO LACK THE RESOURCES TO BE FULLY RESPONSIBLE FOR THE HEALTH CARE THEY RECEIVE. THE UNCOMPENSATED CARE PROGRAM IS DESIGNED TO ENSURE THE ENTIRE COMMUNITY SERVED BY TCH HAS ACCESS TO NEEDED HEALTHCARE SERVICES. IN 2013, $391,000 OF REVENUES WAS DESIGNATED AS CHARITABLE SERVICES.TRI-COUNTY HOSPITAL CARED FOR 1,149 INPATIENTS FOR A TOTAL 3,526 DAYS OF CARE. ADDITIONALLY, TRI-COUNTY HOSPITAL OPERATES FIVE CERTIFIED RURAL HEALTH CLINICS IN AREAS IDENTIFIED BY STATE AND FEDERAL AGENCIES AS HEALTH PROFESSIONAL SHORTAGE AREAS. THESE CLINICS EXAMINED AND/OR TREATED 48,732 PATIENTS IN 2013. TOTAL OUTPATIENT ENCOUNTERS FOR 2013 (INCLUDING THE CLINICS) WERE 150,428. TRI-COUNTY HOSPITAL OPERATES A FULL TIME EMERGENCY ROOM AND ACCEPTS ALL PATIENTS WHO PRESENT THEMSELVES FOR EMERGENCY SERVICES AT THE FACILITY, SEEING 6,177 PATIENTS IN THE EMERGENCY DEPARTMENT IN 2013.TRI-COUNTY HOSPITAL OPERATES AN AMBULANCE SERVICE WHERE PATIENTS RECEIVE EMERGENT CARE AND TRANSPORTATION BY EMERGENCY MEDICAL TECHNICIANS THAT PROVIDE ADVANCED LIFE SUPPORT SERVICES. TCH ALSO OFFERS EMS EDUCATION COURSES FOR THE PURPOSE OF INCREASING SURVIVAL, IMPROVING COMMUNITY AWARENESS, AND INCREASING INDIVIDUAL CONFIDENCE AS A PART OF ITS CHARITABLE MISSION. COURSES OFFERED INCLUDE EMERGENCY MEDICAL TECHNICIAN BASIC, FIRST RESPONDER, CPR, AND FIRST AID. IN 2013, TRI-COUNTY HOSPITAL BEGAN A COMMUNITY PARAMEDIC PROGRAM. COMMUNITY PARAMEDIC IS A PROVISION OF OUTREACH TO PATIENTS AT RISK FOR USING THE EMERGENCY MEDICAL OR IN-PATIENT HEALTHCARE SYSTEM FOR PRIMARY CARE SERVICES, AND HELPING THEM FIND MORE APPROPRIATE RESOURCES FOR THEIR MEDICAL NEEDS.TCH ALSO PROVIDES OR PARTICIPATES IN OTHER PROGRAMS WHICH CONTRIBUTE TO ITS CHARITABLE MISSION. EDUCATIONAL PROGRAMMING IS A PRIORITY INCLUDING BUT NOT LIMITED TO THE HIGH SCHOOL SUMMER INTERNSHIP PROGRAM; PROVIDING A CLINICAL ROTATION SITE FOR LPN/LVN NURSING STUDENTS AND FOR RADIOLOGY AND LABORATORY TECHNICIANS FROM AREA TECHNICAL COLLEGES, PARTICIPATING AS PRECEPTOR SITES FOR MEDICAL SCHOOLS INCLUDING THE RURAL PHYSICIAN ASSOCIATE PROGRAM AND SUMMER INTERNSHIP IN MEDICINE AS WELL AS PROVIDING CAMPUS-BASED PRECEPTOR PHYSICIANS TO THE UNIVERSITY OF MINNESOTA-DULUTH AND ST.
