1. Individuals covered. Persons covered by this policy are the organization's officers, directors, chief employed executive and chief employed finance executive. 2. Facilitation of disclosure. Persons covered by this policy will annually disclose or update to the chairman of the board of directors on a form provided by the organization their interests that could give rise to conflicts of interest, such as a list of family members, substantial business or investment holdings, and other transactions or affiliations with businesses and other organizations or those of family members. 3. Procedures to manage conflicts. For each interest disclosed to the chairman of the board of directors, the chairman will determine whether to: (a) take no action; (b) assure full disclosure to the board of directors and other individuals covered by this policy; (c) ask the person to recuse from participation in related discussions or decisions within the organization; or (d) ask the person to resign from his or her position in the organization or, if the person refuses to resign, become subject to possible removal in accordance with the organization's removal procedures. The organization's chief employed executive and chief employed finance executive will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the chairman of the board of directors in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occurred. The board members and employees are reminded annually of the conflict of interest policy.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from income taxes as described in internal revenue code 501(c)(6) except on activities unrelated to its exempt purposes and excess lobbying expenses as defined in the income tax regulations. During 2014 and 2013, the organization incurred no income taxes. Not-for-profit organizations may become subject to income taxes if qualification as a tax-exempt entity changes, if unrelated business income is generated, and in certain other instances. Not-for-profit organizations are required to assess the certainty of their tax positions related to these matters and, in some cases, record liabilities for potential taxes, interest and penalties accompanied by footnote disclosures. The organization has not identified any uncertain tax positions that would require the accrual of an income tax provision. With few exceptions, the organization is no longer subject to income tax examinations by the u.s. Federal tax authorities for years before 2011.
