“The board may by appropriate resolution designate one (1) or more committees, each of which shall consist of three (3) or more directors elected by the board, which to the extent provided in said resolution or in these bylaws, shall have and may exercise, when the board is not in session, the powers of the board in the management of the affairs of the corporation, except action with respect to election of officers, the filling of vacancies in the board, and the formation of and the filling of vacancies in committees with limited board authority pursuant to this subsection. The board may elect one (1) or more directors as alternate members of any such committee, who may take the place of any absent committee member or members at any meeting of such committee. The designation of such committee or committees and the delegation thereto of authority shall not operate to relieve the board or any individual director of any responsibility imposed upon the board or any individual director by law.”

“In june of 2024, it was discovered that a disqualified person had been making unauthorized expenditures for the past four years. A forensic investigation was completed and it was determined that $677,037 of unauthorized expenditures were made from 2021-2024. The matter was reported to the police and there is a current criminal case proceeding; there may be restitution if there is a conviction.”

“The prepared form 990 is reviewed by the governing body and management and is filed with the irs upon approval by a majority of the voting members of the governing body.”

“All members of the governing body sign a conflict of interest statement upon joining and quarterly thereafter. Any conflict of interest is discussed by the governing body. The signed conflict of interest statements are kept at the organization's administrative office. Any person with a conflict is prohibited from participating in the governing body's deliberations and discussion in the transaction.”

“The governing body annually approves the compensation of the executive director by official vote and conducts performance evaluations that factor into the determination of any increases in compensation. The governing body reviews the non-profit compensation survey published by the united way, discusses compensation considerations with funding sources and partners, and reviews the compensation for comparable positions reported on the form 990 of similar agencies.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
