Form 990, Part VI, Section A, Line 6

There are two classes of voting members known as "governing members." a governing member shall be a professional educator in private practice who demonstrates his or her involvement in a private practice such as, but not limited to, ownership or employment in private practice. (a) individual governing member - each individual governing member shall be entitled to one vote, to hold office in the association, and receive the benefits of members and serve the association in various capacities as determined by the association's board of directors. (b) corporate/institutional governing member - corporate/institutional members are entitled to designate one individual as a voting member. Only one member of a corporate/institutional member may hold office in the association at any one time. Corporate/institutional governing members are entitled to serve the association in various capacities as determined by the association's board of directors. Regular member - there shall be two classes of non-voting members known as "regular members." a regular member is an individual or corporation who supports the purpose, goals and objectives of the association. (a) regular members - individual - an individual regular member may participate in association activities, receive the benefits of members, and serve the association in various capacities as determined by the association's board of directors. (b) corporate/institutional regular member - a corporate/institutional regular member may participate in association activities, receive the benefits of members and serve the association in various capacities as determined by the association's board of directors.

Persons qualified to be elected as directors of the association shall be nominated and elected as follows: - the initial board of directors shall determine a rotation schedule which provides for one-third of the membership of the board to be elected each year. - no director shall serve more than three consecutive three-year terms. Any term of service, as a director, for a period of less than three years shall not be counted as a consecutive three-year term for purposes of this limitation. - a nominations committee appointed by the board of directors shall annually select one or more nominees for each board of director position to be elected that year. The board of directors or its designee shall give written notice to each governing member, prior to november 1, of the upcoming election, with information on each nominee, a ballot which identifies the nominee(s) and includes provision for write-in candidates, and instructions on voting. Ballots completed and returned to the association offices by november 20 shall be counted in the vote for each director. The person who receives the highest number of votes cast for each director position shall be elected.
