Governance Explanations

Form 990, Part VI, Section B, Line 11B

The prepared form 990 and all schedules and attachments are mailed to the directors prior to a special meeting conducted for the review and approval of the form 990. At the meeting the return is discussed, all questions by the directors are addressed, and approval is given to the controller to file the return with the irs.

Form 990, Part VI, Section B, Line 12C

Employees and members of the governing body are subject to the conflict of interest policy. The policy is defined in the organization's employee handbook that is given to every new employee during employee orientation. All employees are responsible for knowing and complying with all company policies and supervisory staff are responsible for monitoring compliance of their staff with company policies. In addition, the conflict of interest policy is distributed annually to all directors, officers, and employees and a conflict of interest disclosure statement is required to be completed. All conflicts of interest are reported on an annual questionnaire and reported to the president who makes a determination regarding the conflict of interest. Any conflict of interest by the president is reviewed by the chair of the governing body. The policy bars individuals with a conflict of interest from participating in discussion or decisions regarding the applicable transaction.

Form 990, Part VI, Section B, Line 15

The organization uses a periodic compensation study to set the compensation ranges for each position. These compensation ranges are approved by the governing body. The compensation study is updated by inflation for years when a study has not been completed. The president has the designated authority to set the wage for each employee within the compensation range that has been approved by the governing body. The governing body determines the president's compensation in accordance with these guidelines.

Form 990, Part VI, Section C, Line 19

The organization made its governing documents, conflict of interest policy, and financial statements available to the public upon request.
