Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 and all schedules and attachments are mailed to the board of directors prior to the special meeting conducted for the review and approval of the form 990. At the meeting, the form is discussed, all questions by the board are addressed and approval is given to the controller to file the form.

Form 990, Part VI, Section B, Line 12C

The policy is defined in the organization's employee handbook which is given to every new employee during employee orientation. All policies included in the handbook are covered. All employees are responsible for knowing and complying with all company policies, and supervisory staff are responsible for monitoring compliance of their staff with company policies. In addition, the conflict of interest policy is distributed annually to all directors, officers, and employees and a conflict of interest disclosure statement is required to be completed. Any potential confict of interest must be disclosed to the president & ceo or executive assistant. Any person involved in a conflict of interest will not be allowed to participate in the transaction or approval process.

Form 990, Part VI, Section B, Line 15

The president & ceo annually submits a detailed summary of their and organization's overall accomplishment during the year to the board's personnel committee. The personnel committee is comprised of three independent board members. The committee members meet in a closed session to review and discuss the summary of accomplishments. An evaluation scorecard which includes numerical scoring in six key evaluation criteria areas and written comments is prepared.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
