Governance Explanations

Form 990, Part VI, Section A, Line 6

The membership of this organization shall include such persons as are members in good standing of congregations within the wels and such other congregations as are members of church bodies in doctrinal fellowship with the wels.

Form 990, Part VI, Section A, Line 7A

The members of the national board shall be elected by ballot at the annual meeting of the national congress.

Form 990, Part VI, Section A, Line 7B

Amendments to these bylaws may be adopted at a regular meeting of the national congress, provided: that they do not conflict with the section or any other article that pertains to scriptural doctrine and practice; and that the proposed amendment has been announced by direct mailing to all chapters and branches at least six weeks prior to the meeting. The affirmative vote of a two-thirds majority of the voting membership present at the national congress shall be required for the adoption of an amendment.

Form 990, Part VI, Section B, Line 11B

The prepared form 990 is reviewed by the organization's national director and treasurer of the board before the return is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization's officers, directors, national director, and management team personnel are covered by the conflict of interest policy. Persons covered by the policy annually disclose their relationships and interests, such as family members, substantial business or investment holdings, and other transactions or affiliations with businesses and other organizations or those of family members, to the organization's chairman. For each relationship and interest disclosed, the chairman determines whether to (a) take no action; (b) assure full disclosure to the governing body and other individuals covered by the policy; (c) ask the person to recuse from participation in related discussions or decisions within the organization; or (d) ask the person to resign from his or her position in the organization or, if the person refuses to resign, become subject to possible removal in accordance with the organization's removal procedures. The organization's national director and management team personnel monitor proposed or ongoing transactions for conflicts and disclose them to the chairman in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occurred.

Form 990, Part VI, Section B, Line 15A

The compensation of the organization's national director is reviewed and approved by the governing body or a compensation committee, provided that persons with conflicts of interest with respect to the compensation arrangement at issue are not involved in the review and approval. The compensation is determined using data as to comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations. The organization maintains contemporaneous documentation and recordkeeping with respect to the deliberations and decisions regarding the compensation arrangement. This process is undertaken on an annual basis.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public by special request.
