Governance Explanations

Form 990, Part VI, Section B, Line 11

11 - the 990 for the organization is completed in conjunction with the organization's external auditors. Information is provided by the director of finance and the completed return is reviewed by the director of finance & president/ceo. A draft of the 990 is also sent to all board members for their review with a special emphasis on the review of the finance committee and board officers.

Form 990, Part VI, Section B, Line 12C

The governance committee of the board is responsible for requesting and monitoring compliance with the conflict of interest policy and disclosures for the members of the board. The president/ceo is responsible for requesting and monitoring compliance with employee disclosures.

Form 990, Part VI, Section B, Line 15A

The finance committee serves as the initial compensation review committee for the president/ceo salary. This committee reviews comparable data developed by the director of finance for similar organizations. The finance committee then recommends a range of compensation to the full board. The full board through the governance committee establishes goals for the ceo/president and then participates in the evaluation process of achievement of goals. This information is considered along with other factors in determining final compensation.

Form 990, Part VI, Section C, Line 18

Public disclosure copies of the 990 are available on pave's website, on other websites such as guidestar.org, and upon request.

Form 990, Part VI, Section C, Line 19

Annual audited financial statements are available to the public upon request and published on our own website www.pave.org

Additional Explanations

FORM 990, PART XI, LINE 9:

Present value allowance 22,325.

FORM 990, PART XII, LINE 2C:

The organization did not change its oversight process for the review of the audited financial statements in the current year.

Financial Statement Notes

PART X, LINE 2:

Pave is exempt from federal income taxes under section 501(c)(3) of the internal revenue code as a charitable organization whereby only unrelated business income, as defined by section 509(a)(1) of the code, is subject to federal income tax. Pave does not have any unrelated business income tax. Accordingly, no provision for income taxes has been recorded. Pave recorded no assets or liabilities related to uncertain tax positions. Pave has implemented accounting for uncertainty in income taxes in accordance with u.s. Gaap. This standard describes a recognition threshold and measurement attribute for financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return and also provides guidance on various related matters such as derecognizing, interest, penalties and disclosure required. Management of pave evaluates the uncertain tax positions taken, if any, and consults with outside counsel as deemed necessary. Pave recognizes interest and penalties, if any, related to unrecognized tax liabilities in income tax expense. Generally, for united states federal income tax, pave is only subject to examination for the current year's tax return and the preceding three years' returns. Generally, for wisconsin income a tax, pave is only subject to examinations for current year's tax return and the preceding four years' returns.

PART XI, LINE 2D - OTHER ADJUSTMENTS:

Present value allowance 22,325. Unrealized gain on investments 207,042. Direct fundraising expenses 24,603.

PART XII, LINE 2D - OTHER ADJUSTMENTS:
