Governance Explanations

Form 990, Part VI, Section B, Line 11B

Line 11b explanation - executive director and office manager review materials first. Office manager mails hard copy of 990 and emails pdfs of 990 to all board members, finance committee members, and the executive director, prior to a finance committee and board meeting. Each individual is given an opportunity to question, confirm, or object to, any portion of the 990. Another hard copy is provided at board meetings to all who request it.

Form 990, Part VI, Section B, Line 12C

On an annual basis, each board member is required to fill out a conflict of interest statement. The board reviews relationships noted on these statements. Conflict of interest issues prohibit individuals from voting on certain matters, or contributing to specific decision-making processes such as deciding the wage/salary of a spouse.

Form 990, Part VI, Section B, Line 15

The board of directors determines the salary/wage of the executive director and office manager. The executive director determines the wage of the public outreach staff. The office manager determines the wage of the office staff, but has to remain within the guidelines for office wages. Compensation is set by the board after review of milwaukee standards in 2013 and 2014. During subsequent years, the board and executive director have reviewed compensation of staff annually as a part of the overall budget approval process. The public outreach staff will remain at $10/hour plus bonuses for production, for the foreseeable future. It was mutually agreed upon that the executive director salary is frozen for 5 years from january 1, 2015. And the office manager has agreed to have her position's salary frozen for ten years from january 1, 2015. Both salaries reflect the total absence of health and dental insurance, and lack of 401k-type savings plans. Cps has no savings plan, pension, or any type of benefits package for any cps employee, whether salaried, or paid per hour.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from income tax under section 501(c)(3) of the internal revenue code and is classified as other than a private foundation. Management has reviewed all tax positions recognized in previously filed tax returns and those expected to be taken in future tax returns. As of december 31, 2022, the organization had no amounts related to unrecognized income tax benefits and no amounts related to accrued interest and penalties. The organization does not anticipate any significant changes to unrecognized income tax benefits over the next year. The organization is currently not under audit by any federal or state taxing authority and is no longer subject to tax examinations by the u.s. Federal jurisdiction for years prior to 2016 and the state jurisdiction for years prior to 2015.

COMPENSATION IS SET BY THE BOARD AFTER REVIEW OF MILWAUKEE STANDARDS IN 2013 AND 2014.
