Governance Explanations

Form 990, Part VI, Section A, line 4

The organization made the following changes to its bylaws during the year: -Board of Directors, Life Director: At any time and from time to time the Board of Directors may designate one or more individuals by the honorary designation of "Life Director" of the corporation, which Life Directors may be held out to the general public by that designation. Each life director shall be a natural person who the board of directors has determined has made a significant long-term contribution to the corporation. A life director shall continue to be designated as such unless the board of directors rescinds such designation, which the board of directors may so rescind at its discretion. No member of the Board of Directors may concurrently serve as a director of the corporation and be designated as a Life Director of the corporation. The designation as a Life Director is a purely honorary title, and no life director shall have any powers granted to a director under the articles of incorporation of the corporation, these bylaws, or chapter 181 of the Wisconsin Statutes. No life director shall have any right to be present at any meeting of the board of directors or any right to vote on any matters requiring approval of the board of directors. The presence or non-presence of any life director at a meeting of the board of directors shall not affect the establishment of a quorum at such meeting. No life director shall receive any compensation from the corporation for his or her service as a life director. -Conflict of interest clause -Board of Directors, Compensation: Directors shall not receive compensation for serving as directors or for providing other personal services to the corporation. However, directors may receive reimbursement for reasonable expenses incurred in connection with corporate matters, provided that such reimbursement is authorized by the Board of Directors, and Directors who are officers or employees of the corporation may receive compensation for their service in that capacity. -Officers: The principal officers of the corporation shall be a President, a secretary, and a treasurer. -Officer compensation: Officers shall be entitled to receive reasonable compensation and benefits for serving as officers and for providing other personal services to the corporation in the amounts determined from time to time by the Board of Directors. -Indemnification Clause

Form 990, Part VI, Section B, line 12C

VSA wisconsin, INC. periodically reviews conflict of interest policy at meetings; senior management monitor and discuss potential conflicts of interest as they arise. Potential conflicts of interest must be reported to President; President documents conflict along with directives and outcomes on a Conflict of Interest Information Outcome Form. Any individual with an actual or perceived conflict of interest will recuse themselves from discussion and voting on the topic to which the conflict relates.

Form 990, Part VI, Section B, line 15

Compensation is based on experience and in alignment with other regional and local nonprofits with similar budgets. Comparability data is provided to the board chair who may involve others on the executive committee in the decision. Meeting minutes document the percentage of salary increase. The review process for executive and senior management is informal through meetings with the full board and private meetings with the board chair. Concerns or accolades are documented in the quarterly meeting minutes.

Financial Statement Notes

Part III, Line 4:

Creative Power: VSA Wisconsin's Traveling Exhibition features 30 award-winning works of art by children, young adults, and adults with disabilities and is displayed at five to six Wisconsin venues, including corporations, libraries, galleries, hospitals, and museums annually. To ensure broad public exposure for the greatest number of artists with disabilities, one third of the works in this evolving exhibition change each year. The works are selected through an annual statewide "Call for Art" program. A jury of local and regional art professionals review NEARLY 250 submissions from artists with disabilities, and select ten award-winning works from the three age categories based on originality, creativity and craftsmanship. These works are added to the traveling exhibition and VSA Wisconsin then "retires" ten works that have been in the exhibition the longest. This presentation of exemplary artwork by artists with disabilities helps dispel cultural myths about the perceived limitations of people with disabilities, one of Wisconsin's underserved populations. Children and adults with mental illness, behavioral, cognitive, physical, sensory, or other disabilities are the direct beneficiaries of this program. The traveling exhibition provides them with an artistic means of self-expression which creates self-confidence and fosters communication and independence. The traveling exhibition also gives artists with disabilities an opportunity to receive recognition for their accomplishments, enhancing feelings of self-worth and promoting a sense of belonging to the community. Based on historic responses to the program, the positive feelings of self-worth encourage individuals with disabilities to take their art-making to new heights and seek out economic outlets for their skills. The exhibition also allows the community at-large to gain a heightened awareness of the talents of individuals with disabilities.

Part V, Line 4:

VSA Wisconsin established an internal endowment fund with the purpose of providing a consistent stream of cash from the earnings on the principle fund balance as designated by the Board of Directors. VSA Wisconsin maintains a Bridge to the Future Fund (BTF) investment account for short term unexpected cash needs which arises from reduced donations, unexpected expenses or projected program expansion as designated by the Board of Directors. The organization also has a beneficial interest in assets held by Greater Milwaukee Foundation.

Part X, Line 2:

VSA Wisconsin is required to assess whether it is more likely than not that a tax position will be sustained upon examination on the technical merits of the position assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements. VSA Wisconsin has determined there are no amounts to record as assets or liabilities related to uncertain tax positions.

IRS990/Desc0VSA Art Center - Adults with disabilities ages 16 and up explore the creative arts through classes and workshops in visual art, movement/dance, drama and music. Classes are taught by professional teaching artists. There are approximately 500 class registrations annually at the Art Center. Many of the individuals who enroll in afternoon and evening classes at the VSA Art Center live independently in the community and are supported by area social service agencies. Many are nonverbal and/or may have more than one disability.The Art Center programs fill a void for many individuals with disabilities who seek structured activities to complement their home, school, and work life. The Art Center programs are:-Vets' Art Studio: The Vets' Studio was formed in partnership with the Madison Vet Center and is specifically designed for veterans who exhibit mental, emotional and behavioral disabilities as a result of stress or traumatic experiences while in service. -Art Exploration Classes: We offer approximately 40 unique classes in music (singing, drumming and percussion), improvisational drama, movement, and visual art (drawing, painting, watercolors, printmaking, papermaking, photography, ceramics, clay sculpture, paper mache, textiles, weaving, mosaics, or other multi-media approaches). We offer two 10-week sessions and three 7-week sessions a year. -Open Doors Studio: An ongoing, studio class in visual art for ten months of the year (Fall, Winter, Spring). Classes are self-directed with a focus on individual creative development and expression. All participants present selected artwork in an annual public exhibition.
