Article xii of the organization's bylaws contains the organization's conflict of interest policy. The policy calls for full disclosure by directors with discussion by the governing body in the event a conflict of interest is disputed. After discussion by the governing body, the chair has the authority to make the final determination of whether a conflict of interest exists. In addition, all directors annually complete a "declaration of affiliations" statement that is designed to identify interests that could give rise to conflicts. The completed statements are kept on file with the executive director. The organization's employees also complete a statement disclosing interests that could give rise to conflicts. These statements are updated annually and are also kept on file with the executive director. The executive director has the authority to make the final determination of whether a conflict of interest exists with regards to an employee. If an interest involves the executive director, the chair will make the final determination. The executive director is charged with regularly monitoring interests of the directors and employees that could give rise to conflicts. Any director with a conflict of interest is prohibited from participating in the governing body's discussion on the transaction unless directly asked by the chair in the course of the discussion. A director must also abstain from voting on any motion in which he/she has a conflict of interest.”

“Annually, the executive committee of the governing body conducts a performance review of the executive director. The executive committee uses compensation data for comparable positions at similar agencies and contiguous counties to determine the compensation of the executive director.”
