Governance Explanations

Form 990, Part VI, Section B, Line 11

The vp of finance reviews the entire 990 before the return is signed and submitted. The return is available to the finance committee to review at any time.

Form 990, Part VI, Section B, Line 12C

Periodically, the vp of human resources has staff read the applicable conflict of interest policy and attest that they understand it and are in compliance. Also, periodically, the president and ceo has board members read the applicable conflict of interest policy and attest that they understand it and are in compliance.

Form 990, Part VI, Section B, Line 15A

Per its executive limitation policy lp6, the full board of trustees approves the ceo compensation annually. The board completed the last iteration of this process back on 11/19/2013. Part of this process included a review and discussion of an industry specific ceo salary survey completed by the v.p. Of human resources. All other employees receive the same cost of living and merit increase percent annually. Every two or three years, the human resources department compares local and like industry surveys to staff salaries.
