The organization's membership consists of church congregations in the general geographic area of the city of seymour, outagamie county, wisconsin, having voted to participate or who may in the future, on invitation, vote to participate.

The members shall elect the board of directors, approve the articles of incorporation or restatements thereof, approve any sale of more than one-half (1/2) of the corporate assets or any other corporate action constituting a corporate reorganization, including a merger or dissolution of the corporation.

The executive director shall sign and certify that the irs form 990 is accurate and complete. The finance committee shall delegate the review and approval of the irs form 990 annual tax filing prior to submission to the executive director.

The conflict of interest policy is reviewed by the board. Also, directors, officers, committee members and management employees must complete annually a confidentiality policy agreement & corporate integrity policies statement. If a conflict of interest is identified, the individual involved with the conflict will recuse him/herself from the board vote and resolution.

The executive director is hired by the board of directors. The board of directors hires an independent agency to help with the recruiting, interviewing and compiling the benefit package for this position. Once hired, an annual review/evaluation is done by the board of directors and an annual increase is agreed upon by using the most current wahsa/aahsa nursing home salary & benefits report. Annually, the board may ask an independent agency to evaluate the compensation package for this position. The board (only those without conflict) vote on the above compensation and the decision is documented. Other key employees' salaries are reviewed on an annual basis (individually throughout the year) by the executive director. Increases are determined by using the most current wahsa/aahsa nursing home salary & benefits report. Salary changes are approved by the board of directors during the budget process, and the decision is documented. Salaries for key employees are only changed during the budget process, which the board of directors must approve (those without conflict) and the decision is documented.

Good shepherd services, ltd will allow public access to irs form 990 and 990-t. This access will be provided in a manner consistent with the current irs regulations section 301.6104 (d). Financial Statement Notes

PART V, LINE 4:

During 1993, a permanently restricted endowment was created from a single donation of $20,000. The earnings from this endowment are restricted for the use of the benefit of the residents of good shepherd.

PART X, LINE 2:

In order to account for any uncertain tax positions, the facility determines whether it is more likely than not that a tax position will be sustained upon examination of the technical merits of the position, assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more-likely-than-not recognition threshold, the benefit of that position is not recognized in the financial statements. The facility recorded no assets or liabilities related to uncertain tax positions in 2013 and 2012. The facility's federal income tax returns for tax years 2009 and beyond remain subject to examination by the internal revenue service. The expiration of the statutes of limitations related to state income tax returns that the facility files for tax years december 31, 2009, and beyond remain subject to examination by various state taxing authorities.

IN 2013, 140 CHILDREN WERE ENROLLED IN OUR CENTER. DURING THE SCHOOL YEAR, THE AVERAGE DAILY ATTENDANCE WAS 106 CHILDREN. GOOD SHEPHERD CHILDREN'S CENTER DOES PARTICIPATE IN THE WISCONSIN DEPARTMENT OF CHILDREN AND FAMILIES' YOUNG STAR PROGRAM. THE YOUNG STAR PROGRAM IS A 5 STAR QUALITY RATING AND IMPROVEMENT SYSTEM FOR CHILD CARE PROVIDERS. IT BASES A CHILD CARE CENTER'S RATING ON LEARNING ENVIRONMENT & CURRICULUM, EDUCATION, HEALTH AND WELLBEING OF THE CHILD AND BUSINESS & PROFESSIONAL PRACTICES. OUR 4K PROGRAM CONTINUES TO OFFER MORNING AND AFTERNOON CLASSES AND CURRENTLY HAS 63 CHILDREN ENROLLED FOR THE 2013-2014 SCHOOL YEAR. OUR CHILDREN'S CENTER ALSO OFFERS THE SCHOOL AGED PROGRAM LOCATED AT ROCK LEDGE INTERMEDIATE SCHOOL AND PROVIDES A SUMMER PROGRAM AND BEFORE AND AFTER SCHOOL PROGRAMS. EACH APARTMENT PROVIDES A BEDROOM AREA, A LIVING AREA AND A PRIVATE BATH WITH SHOWER. IN 2013, THE SHEPHERDS INN RENDERED SERVICES TO 24 RESIDENTS. THERE WERE 4 ADMISSIONS AND 5 DISCHARGES. THE SHEPHERDS INN ENDED THE YEAR WITH ONE ROOM AVAILABLE.GOOD SHEPHERD COMMUNITY SUPPORT AGENCY WAS CREATED TO MEET THE GROWING NEED FOR CAREGIVER SERVICES. WE PROVIDE AN ARRAY OF NON-SKILLED SERVICES TO ENABLE INDIVIDUALS WITH PHYSICAL LIMITATIONS TO FUNCTION AT HOME WITH LIMITED SUPPORT. SERVICES AVAILABLE INCLUDE PERSONAL CARE, HOUSE CLEANING/LAUNDRY SERVICES, MEAL PREPARATION, COMPANIONSHIP, MEDICATION REMINDER, SPA BATH SERVICES AND MUCH MORE. THE COMMUNITY SUPPORT AGENCY STARTED 2013 WITH 40 IN HOME CLIENTS. WE HAVE HAD 19 ADMISSIONS AND 22 DISCHARGES THROUGHOUT THE YEAR. THE COMMUNITY SUPPORT AGENCY ALSO COORDINATES THE GENERATIONS ADULT DAY CENTER FOR INDIVIDUALS 18 YEARS AND OLDER. OUR ADULT DAY CENTER EXPERIENCED SOME FLUCTUATION IN ATTENDANCE IN 2013. THE YEAR STARTED WITH 4 PARTICIPANTS AND ADDED 2 MORE DURING THE YEAR. THREE PARTICIPANTS DID DISCONTINUE SERVICES DURING THE YEAR. THE COMMUNITY SUPPORT AGENCY ALSO PROVIDES A FOOT CLINIC TO SEYMOUR, PULASKI AND THE FREEDOM AREA WHICH HAS BEEN A VERY BENEFICIAL SERVICE TO MANY IN THESE COMMUNITIES. TWO FOOT CLINICS ARE OFFERED IN SEYMOUR AND THEY AVERAGE 43 CLIENTS PER MONTH. THE PULASKI FOOT CLINIC AVERAGES 14 CLIENTS AND THE FREEDOM FOOT CLINIC AVERAGES 17.BIRCH WAY CBRF OPENED ITS DOORS IN JULY, 2012, OFFERING 13 ONE BEDROOM ROOMS. BIRCH WAY PROVIDES MEDICAL MANAGEMENT, PERSONAL CARE, HOUSEKEEPING, LAUNDRY, ACTIVITIES, APARTMENT AND DINING SERVICES FOR A MONTHLY FLAT FEE. BIRCH WAY IS LOCATED ON THE NURSING HOME CAMPUS THUS ENCOURAGING BIRCH WAY RESIDENTS TO ENJOY THE ENVIRONMENTAL AND PSYCHOSOCIAL BENEFITS THAT THE NURSING HOME HAS TO OFFER.
