“Qualifications - any person, association, corporation, partnership, foundation, government body, or estate shall become and continue as a member of the corporation upon payment of such annual dues, as may be established from time to time by the board of directors and as are in effect for the then current fiscal year. Membership in the corporation shall terminate as of the last day of each calendar year unless the member elects, on or before such day to extend such membership by payment of such dues as are in effect for the next calendar year. Membership in "good standing" shall be determined according to rules and procedures established by the board of directors. Voting members - associations, corporations, partnerships, foundations, government bodies, and estates shall determine the individual within their respective entities who shall be designated as their voting members. Any notice, proxy, quorum, and/or voting requirements in these bylaws shall not be invalid because of member's failure to notify the corporation of designated voting members.”

“Each member shall be entitled to one (1) vote in each matter submitted to a vote of the members. The vote of any corporation or institutional members shall be cast by its designated representative.”

“Sub committees do not take minutes but also do not act on behalf of the board of the directors. They report to the board of directors. None of the committees act on behalf of the board of directors.”

“The executive director and board treasurer closely review the 990 prior to filing.”

“The conflict of interest policy is required to be signed annually. This is monitored throughout the year and any members with a conflict will remove themselves from any discussion on such topics.”

“The organization makes its governing documents and financial statements available to the public upon request.”
