“The organization's executive director and associate director are employees of the uw system administration (university of wisconsin-extension through june 2019) and perform management duties such as supervising personnel, planning and executing budgets and financial operations, and supervising exempt operations. During calendar year 2018, the executive director received $87,331 of reportable compensation and $38,177 of other compensation and the associate director received $65,449 of reportable compensation and $28,633 of other compensation from the university of wisconsin-extension for work performed for the wisconsin humanities council.”
“The prepared form 990 is reviewed and approved by the associate director before the return is filed with the irs.”
“The organization's conflict of interest policy covers all of its directors and officers. Any director or officer is considered an interested person under the policy. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors considering the proposed transaction or arrangement. The interested person must leave the meeting of the governing body while the determination of a conflict of interest is made. The remaining directors will decide if a conflict of interest exists and will vote on the proposed transaction or arrangement. The organization's directors and officers do not receive any compensation on projects funded by the organization and must recuse themselves from the deliberations and decisions on grant requests from organizations with which they are affiliated.”
“The personnel committee of the governing body annually evaluates the performance of the executive director and submits a written evaluation that includes a compensation recommendation to the executive committee prior to the june council meeting. The executive director may confer with the governing body but is ultimately responsible for evaluating the performance of and establishing compensation for the rest of the organization's personnel using clearly established policies outlined by the university of wisconsin system, of which the organization is administratively affiliated.”
“The organization made its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
“Employee leasing services: program service expenses 369,212. Management and general expenses 100,916. Fundraising expenses 59,251. Total expenses 529,379.”
“The purpose of the wenninger endowment fund, set up with the uw-foundation in september of 2002, is to support whc-funded programming that serves children and families across wisconsin, with priority given to programming that serves northern wisconsin. Interest income from this endowment is to be used exclusively on these types of projects and programming.”
