Governance Explanations

Form 990, Part VI, Section A, Line 3

The organization's executive director and associate director are employees of the university of wisconsin-extension and perform management duties such as supervising personnel, planning and executing budgets and financial operations, and supervising exempt operations. During calendar year 2016 the executive director received $86,607 of reportable compensation and $43,730 of other compensation and the associate director received $64,958 of reportable compensation and $32,798 of other compensation from the university of wisconsin-extension.

Form 990, Part VI, Section B, Line 11B

The prepared form 990 is reviewed and approved by the associate director before the return is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers all of its directors and officers. Any director or officer is considered an interested person under the policy. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors considering the proposed transaction or arrangement. The interested person must leave the meeting of the governing body while the determination of a conflict of interest is made. The remaining directors will decide if a conflict of interest exists and will vote on the proposed transaction or arrangement. The organization's directors and officers do not receive any compensation on projects funded by the organization and must recuse themselves from the deliberations and decisions on grant requests from organizations with which they are affiliated.

Form 990, Part VI, Section B, Line 15A

The personnel committee of the governing body annually evaluates the performance of the executive director and submits a written evaluation that includes a compensation recommendation to the executive committee prior to the june council meeting. The executive director may confer with the governing body but is ultimately responsible for evaluating the performance of and establishing compensation for the rest of the organization's personnel using clearly established policies outlined by the university of wisconsin system, of which the organization is administratively affiliated.

Form 990, Part VI, Section C, Line 19

The organization made its governing documents, conflict of interest policy, and financial statements available to the public upon request.

IRS990/ProgSrvcAccomActy3Grp/Desc0IN ADDITION TO ITS OWN PROGRAMMING, THE WISCONSIN HUMANITIES COUNCIL PROVIDES FINANCIAL SUPPORT OUTSIDE OF THE GRANT PROGRAM FOR HUMANITIES PROGRAMING BY PARTNER ORGANIZATIONS IN WISCONSIN. FINALLY, PLANNING AND WORK HAS BEGUN ON NEW PARTNERSHIPS WITH LOCAL ORGANIZATIONS AROUND WISCONSIN AS PART OF THE "BEYOND THE HEADLINES" PROJECT THAT WILL TAKE PLACE NEXT YEAR. IN EACH CITY THE WISCONSIN HUMANITIES COUNCIL WILL USE A DIFFERENT PUBLIC POLICY ISSUE AS A LENS THROUGH WHICH CITIZENS DISCUSS THE PAST, PRESENT, AND FUTURE ROLE OF THE MEDIA IN MEETING THEIR INFORMATION NEEDS.
