“The organization has two classes of members. The first class of members are golfing club members, which represent approximately 400 clubs throughout the state of wisconsin. Each club is considered a separate member of the organization, and each club has one vote to elect the organization's board of directors. The organization's second class of members is individual golfer members. The organization has approximately 50,000 individual members. Such members receive benefits from the organization, such as golf handicapping, measuring and rating services, the golf directory and magazine, and access; however, the individual members have no right to vote to elect the organization's board of directors.”

“Compensation of the organization's executive director and other employees is determined by the organization's finance committee under an independent review and using information available to it regarding the market rate for such executive director and employees' services. The finance committee's determination is approved by the board of directors. The determination and approval are documented in the minutes of the regular and annual meetings of the board of directors.”
