Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization is a non stock non profit corporation that has members.

Form 990, Part VI, Section A, Line 7A

Members elect the chapter governor every two years. Members of each division elect their representative on the chapter board of directors.

Form 990, Part VI, Section A, Line 7B

Members vote on any amendment to chapter bylaws.

Form 990, Part VI, Section B, Line 11

A copy of the 990 was provided to the governing body before filing at a board meeting.

Form 990, Part VI, Section B, Line 12C

The board members sign off on the conflict on interest policy every year.

Form 990, Part VI, Section B, Line 15A

Neca conducts an annual internal survey of chapter executives throughout the country relative to base salary, pension, health care and any other fringe benefits that may be included in the total compensation package. The survey results are broken out by region and then by man-hours worked in the chapter jurisdiction i.e. 1,000,000 to 1,500,000, 1,500,000 to 2,000,000, 2,000,000 to 250,000 hours and so on. Each chapter's service charge income is relative to hours worked. For example, our chapter hours are in the 4,500,000 to 5,000,000 hour range and our board of directors can identify the total compensation range paid to manager's that fall within that range. Economic conditions in the construction industry are also taken into account. Then based on a variety of factors including prudent management of the bottom line (income/expenses vs. Budget) and overall job performance in carrying out the duties as described in the chapter bylaws the board meets privately to determine if a percentage increase or decrease in total compensation is in order or if a performance bonus is in order. As for the rest of the staff, the executive vice president is responsible for adjustments in their compensation which is largely based on job performance in carrying out specified job duties, adherence to company policies and overall financial performance of the chapter.

Financial Statement Notes

PART X, LINE 2:

The chapter files a form 990 (return of organization exempt from income tax) annually. When this return is filed it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would ultimately be sustained. Examples of tax positions include such matters as the following; the tax exempt status of the chapter and various positions relative to potential sources of unrelated business taxable income (ubit). Ubit is reported on 990t, as appropriate. The benefit of a tax position is recognized in the financial statements in the period during which, based on all available evidence, management believes that it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Form 990 filed by the chapter is subject to examination by the internal revenue service up to three years from the extended due date of each return. Forms 990 filed by the chapter are no longer subject to examination for the years 2009 and prior.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE CHAPTER FILES A FORM 990 (RETURN OF ORGANIZATION EXEMPT FROM INCOME TAX) ANNUALLY.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0THE ORGANIZATION IS A NON STOCK NON PROFIT CORPORATION THAT HAS MEMBERS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1MEMBERS ELECT THE CHAPTER GOVERNOR EVERY TWO YEARS. MEMBERS OF EACH DIVISION ELECT THEIR REPRESENTATIVE ON THE CHAPTER BOARD OF DIRECTORS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2MEMBERS VOTE ON ANY AMENDMENT TO CHAPTER BYLAWS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3A COPY OF THE 990 WAS PROVIDED TO THE GOVERNING BODY BEFORE FILING AT A BOARD MEETING.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4THE BOARD MEMBERS SIGN OFF ON THE CONFLICT ON INTEREST POLICY EVERY YEAR.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5NECA CONDUCTS AN ANNUAL INTERNAL SURVEY OF CHAPTER EXECUTIVES THROUGHOUT THE COUNTRY RELATIVE TO BASE SALARY, PENSION, HEALTH CARE AND ANY OTHER FRINGE BENEFITS THAT MAY BE INCLUDED IN THE TOTAL COMPENSATION PACKAGE.
